Legal Counsel

Position Summary :

Provide legal advice to the executive team and various departments of a family-run business, ensuring that business operations comply with applicable laws and regulations while protecting the company’s interests. On-site in downtown Rochester NY. Reports to Co-CEOs.

Key Responsibilities :

Legal Advice and Guidance: Provide timely and accurate counsel on corporate governance, regulatory compliance, property management, labor and employment law, and other legal matters.

Contract Management: Draft, review, and negotiate contracts, agreements, and other legal documents to safeguard the company’s rights and obligations.

Risk Management: Identify potential legal risks and develop strategies to mitigate exposure to litigation or regulatory penalties.

Compliance Oversight: Ensure adherence to local, state, and federal laws as well as internal policies and industry standards.

Litigation and Dispute Resolution: Manage internal and external disputes, coordinate with law firms, and oversee litigation or mediation processes.

Corporate Transactions; Advise on mergers, acquisitions, divestitures, and other strategic business transactions.

Employee Relations: Provide guidance on labor law, workplace policies, and employee relations issues.

Required Qualifications :

Juris Doctor (JD) degree from an accredited law school and admission to the New York State bar.

Five plus years of experience in corporate law, contract law, compliance, and regulatory frameworks.

Strong analytical, problem-solving, negotiation and communication skills.

Ability to work independently and collaboratively across departments.

Capacity to balance multiple projects, provide strategic input, and maintain high ethical and professional standards.
