This opportunity offers exposure to sophisticated M&A transactions, direct mentorship from experienced dealmakers, and the chance to work with a leading corporate practice serving clients across numerous industries. Job Responsibilities Assist with mergers, acquisitions, divestitures, and other strategic corporate transactions Draft, review, and negotiate transaction documents and ancillary agreements Conduct due diligence reviews involving corporate governance, contracts, compliance, and regulatory matters Prepare disclosure schedules and transaction-related documentation Support deal teams throughout all phases of transactional matters Assist with corporate structuring, governance, and organizational matters Coordinate with specialists across multiple practice areas to facilitate transactions Communicate with clients, opposing counsel, and transaction participants Conduct legal research related to corporate and transactional issues Participate in negotiations and transaction management activities Review and analyze corporate records and commercial agreements Assist with closing processes and post-closing matters Qualifications 1–2 years of experience in a general corporate practice with a focus on mergers and acquisitions Active admission to the California State Bar Strong academic credentials Excellent drafting and transactional document review skills Strong written and verbal communication abilities Experience working in a collaborative legal environment Ability to manage multiple assignments simultaneously Strong attention to detail and organizational skills Sound business judgment and problem-solving capabilities Commitment to client service excellence Educational Requirements Juris Doctor (J.D.) degree from an accredited law school Required Skills Mergers and acquisitions transaction support Transactional drafting and negotiation Legal research and writing Due diligence review and analysis Project and transaction management Analytical and problem-solving skills Client communication and relationship management Team collaboration and organizational effectiveness Culture & Firm Appeal This opportunity is with one of the nation's largest and most respected full-service law firms, known for its innovative approach to client service and commitment to attorney development.
