Corporate Counsel [Remote]

Drive corporate transactions, governance, and legal operations for an AI-focused organization while building automation that makes the legal function faster, more accurate, and scalable. Role Overview

This full-time counsel role combines hands-on transactional execution with an interest in AI and legal operations. You will manage the details that keep corporate matters moving, from drafting and signatures through filings, records, and closing deliverables, while creating AI-enabled workflows and self-service tools for a highly asynchronous, Slack-driven environment.

• Support venture financings, secondary transactions, board and stockholder approvals, and related corporate matters, including document drafting and coordination with outside counsel.
• Lead transaction execution, including signatures, checklists, document circulation, closing sets, and post-closing work.
• Maintain the master data room and keep corporate records accurate, organized, and current.
• Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
• Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and equity-record reconciliation.
• Independently draft and manage routine corporate and legal documents, using sound judgment about when to escalate matters or involve outside counsel.
• Design AI-enabled legal intake and triage workflows.
• Create self-service tools, templates, playbooks, and automations for recurring processes, including NDAs, approvals, and signature requests.
• Identify repetitive legal work and develop systems that improve legal-team efficiency and accuracy.

• Significant experience supporting venture capital financings, M&A, or similar corporate transactions, with strong knowledge of transaction documents, approvals, and closing processes.
• Strong experience in corporate governance, entity management, state filings, cap tables, and equity administration.
• Exceptional organization and attention to detail, with the ability to independently drive matters from start to finish.
• Strong drafting, proofreading, project-management, and communication skills.
• Genuine interest in AI, legal technology, workflow design, and automation.
• Strong judgment in identifying matters that require escalation or outside counsel.
• A collaborative, hands-on approach across legal and operational responsibilities, and comfort working autonomously in a fast-paced, highly asynchronous setting.
• Preferred: JD and at least 3 years of corporate counsel experience supporting venture transactions across law-firm and in-house settings.

• Full-time role.
• Remote, with the option to work from the San Francisco office.

Annual compensation: $345, 000 to $370, 000.
