Lead Director - Divestiture Management

Position Summary

The Director of the Divestiture Management Office (DMO) will lead the team responsible for delivering on a Transition Services Agreements (TSAs) following the sale of a CVS Health business unit. This role serves as the primary liaison between CVS Health, the acquiring company, vendors, and impacted employees to ensure all transition commitments are successfully executed. The ideal candidate is a strong leader who can manage complex programs, build relationships across multiple stakeholders, and drive solutions in a fast-paced environment.

Key Responsibilities

• Lead and manage the Divestiture Management Office and supporting team members.
• Oversee execution of Transition Services Agreement (TSA) commitments and contractual obligations.
• Build and maintain relationships with buyers, vendors, impacted employees, and CVS stakeholders.
• Review and interpret legal agreements, contracts, and transaction documents.
• Identify risks, issues, and improvement opportunities, and drive resolution through collaboration and negotiation.
• Provide clear updates, recommendations, and reporting to senior leadership.
• Manage project budgets and ensure financial goals are met.
• Track program performance through metrics, reporting, and governance processes.
• Lead project planning, execution, and continuous improvement efforts.
• Gather and analyze stakeholder feedback to proactively address concerns and disputes.
• Facilitate cross-functional meetings, workshops, and problem-solving sessions.
• Coach, develop, and support team members, matrix partners, and external vendors.

Required Qualifications

• 10+ years of experience in healthcare, financial services, fintech, or a related industry.
• Experience leading teams and managing people across multiple projects.
• Proven ability to manage large, complex programs and budgets.
• Strong negotiation and stakeholder management skills.
• Ability to balance competing priorities and adapt quickly in a dynamic environment.
• Experience influencing senior leaders and driving results across cross-functional teams.

Preferred Qualifications

• Experience supporting mergers, acquisitions, divestitures, carve-outs, or TSA management.
• Consulting experience related to M&A integration or separation activities.
• Strong project and program management background.
• Demonstrated success leading organizational change and delivering measurable business outcomes.
• Experience managing large-scale budgets and strategic initiatives.

Education

• Bachelor's degree or equivalent experience required.
• MBA or other advanced degree preferred.

Pay Range

The typical pay range for this role is:

$100,000.00 - $231,540.00

This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company’s equity award program.
