Contract Analyst

Legal Department Contract Administration Paralegal

Back Bay Staffing Group is seeking a highly talented individual to join our client's legal department with a focus on contract administration. A seasoned, veteran paralegal with in-depth knowledge of contract analysis combined with IP knowledge is an ideal candidate.

Primary Responsibilities:

1. Review and analyze complex software license, professional services, non-disclosure agreements and other commercially related agreements worldwide
2. Expand and improve database of agreements and analytics to facilitate standardization and efficiency in negotiation process
3. Review contractual documents to ensure adherence to company policy and conformance to applicable company guidelines.
4. Interface with appropriate staff to understand the business and financial issues involved in the applicable contracts.
5. Advise internal clients of applicable contractual terms and conditions.

Prior experiences preferred:

• A minimum of 3 - 5 years of experience in directly managing a variety of commercially related agreements, with an emphasis on complex, heavily negotiated commercial agreements with Fortune 500 companies.
• Experience working off of both standard templates and customer contract forms.
• Experience with the enterprise software industry and/or software licensing.
• Experience with project ownership and management highly preferred.
• Experience with contract administration
• Previous in-house experience preferred, but not required.

Necessities:

• Must be able to work independently and exercise good judgment.
• Must have excellent computer application skills, e.g., fluency with advanced features of Microsoft Word, IP experience, experience with Lotus Notes is a plus. The candidate needs to be extremely facile with Word and must truly be an advanced user.
• Must be well organized and able to manage numerous projects simultaneously, under deadline pressure
• Must be flexible, responsible, trustworthy, and sharp!
• Good mix of previous experience with patents and contracts
• Come from a law firm or a corporate background.

Education:

• Bachelor's degree is required.
