Position Overview

TECfusions is seeking an experienced In-House Counsel to join our legal team in Clearwater, Florida. This individual will provide hands-on legal support across corporate, commercial, securities, financing, infrastructure development, governance and general business matters.

The ideal candidate is a commercially minded corporate attorney with approximately 7–15 years of relevant legal experience , a strong foundation in corporate transactions and securities matters, and exposure to infrastructure development, project finance, energy or power supply arrangements.

This role requires an attorney who can work independently, navigate complex transactions, provide practical business guidance and support the legal needs of a rapidly growing organization. Direct experience with construction and power contracts is beneficial but can be developed within the role.

Key Responsibilities

• Draft, review and negotiate commercial agreements, including MSAs, SOWs, SLAs, vendor agreements, procurement contracts, consulting agreements, NDAs and other business agreements.
• Support corporate transactions, capital raising, debt and equity financings, and strategic business initiatives.
• Advise on securities law, SEC reporting, corporate governance and related regulatory requirements .
• Support SEC filings, corporate records, board resolutions, policies and compliance requirements.
• Provide legal support for infrastructure development, project financing, energy and power supply arrangements , including associated commercial and financing agreements.
• Work with business and development teams on transactions involving data center infrastructure, energy procurement, utilities and capital investment.
• Provide day-to-day legal counsel to executive leadership and business teams.
• Advise on contractual, corporate, regulatory, employment and compliance matters.
• Identify legal, financial and contractual risks and recommend commercially practical solutions.
• Support claims, disputes and litigation matters as needed.
• Coordinate with and manage outside counsel on specialized legal matters.
• Develop and maintain contract templates, legal processes and corporate documentation.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with at least one U.S. state bar; Florida admission or eligibility preferred.
• Approximately 7–15 years of relevant corporate legal experience , gained in-house and/or with a law firm.
• Experience with securities law, SEC matters, corporate governance or capital markets transactions.
• Experience or meaningful exposure to infrastructure development, project finance, energy, utilities or power supply transactions.
• Strong corporate and transactional legal experience, including financing and complex commercial agreements.
• Demonstrated ability to draft, review and negotiate commercial contracts.
• Public-company legal experience and familiarity with SEC reporting requirements strongly preferred.
• Experience supporting debt financing, equity financing, capital raising or other structured financing transactions preferred.
• Experience in data centers, technology infrastructure, energy or power-intensive industries is advantageous.
• Familiarity with construction contracts, power purchase agreements, utility arrangements or related development agreements is a plus, but not required .
• Strong business judgment, communication, negotiation and analytical skills.
• Ability to independently manage multiple priorities and provide practical legal advice in a fast-paced, growing organization. xhqgsiq
