About the Role
The Company is seeking an Interim General Counsel to play a pivotal role in guiding the organization through a private equity acquisition. The successful candidate will be responsible for managing all legal aspects of the transaction, including leading the legal due diligence process, negotiating and advising on key deal terms, and overseeing the transition to new ownership. This role requires a legal professional with a strong background in M&A and complex corporate transactions, particularly within the healthcare industry, and a proven track record of managing outside counsel. The Interim General Counsel will also be expected to provide strategic advice to the Board and investment committee on transaction risk and strategy. Applicants for the Interim General Counsel position at the company must have a Juris Doctor (J.D.) degree and at least 10 years of legal experience, with a focus on M&A and complex corporate transactions. The role demands a candidate with a deep understanding of the legal due diligence process, the ability to assess and mitigate risk, and a background in private equity transactions, either on the sponsor or target side. Experience in advising boards or investment committees on transactions is essential, as is a strong foundation in drafting and negotiation. The ideal candidate will be a legal leader from a top law firm or a senior in-house executive with a preference for those with private equity purchase-and-sale experience in the healthcare sector.
