Direct Counsel is seeking a Finance Associate to join a premier Finance practice in New York. This is an exceptional opportunity for an attorney with sophisticated financing experience who is looking to work on private credit transactions, syndicated financings, acquisition financings, liability management transactions, and special situations matters.

The ideal candidate will have strong debt finance experience and an interest in representing private equity sponsors, lenders, borrowers, private credit funds, and other financial institutions on complex financing transactions.

Responsibilities

• Advise lenders, borrowers, private equity sponsors, and financial institutions on financing transactions
• Structure, negotiate, and document:
  • Private credit transactions
  • Syndicated credit facilities
  • Acquisition financings
  • Liability management transactions
  • Special situations financings
  • Secured lending arrangements
• Draft and negotiate credit agreements, security documents, guarantees, and related financing documents
• Conduct financing due diligence and manage transaction execution
• Support private equity-sponsored acquisitions and strategic transactions
• Analyze capital structures and financing alternatives
• Work closely with corporate, restructuring, and private equity teams on multidisciplinary matters
• Manage transactions from inception through closing

Qualifications

• J.D. from an accredited law school
• Law school class years 2017–2022
• Experience in private credit and syndicated debt finance
• Experience representing lenders, borrowers, or both
• Strong drafting and negotiation skills
• Experience managing complex financing transactions
• Excellent analytical, organizational, and communication abilities
• Strong business judgment and client-service orientation
• Outstanding academic credentials

Preferred Experience

• Private equity acquisition finance
• Liability management transactions
• Special situations finance
• Sponsor-side or lender-side financing work

Compensation & Benefits

• Salary range: $260,000 – $435,000
