Advise clients on SEC reporting and compliance, including Exchange Act filings and disclosure requirements. Counsel clients on corporate governance, SEC regulations, and securities law compliance. Represent issuers, investors, and financial institutions in capital markets transactions. Provide strategic guidance on mergers, acquisitions, and other corporate transactions with securities implications. Drive business development initiatives and maintain strong client relationships. Mentor and supervise associates and contribute to growth of corporate and securities practice. Qualifications J.D. from an accredited law school and active Florida Bar admission (or ability to waive). Extensive experience (typically 8+ years) in securities and capital markets law. Portable book of business strongly preferred. Deep knowledge of federal securities laws and SEC regulations. Proven ability to manage complex transactions and client relationships. Strong drafting, negotiation, and analytical skills. Entrepreneurial mindset with a collaborative approach.
