Corporate Paralegal

Orrick currently has an excellent opportunity for a Corporate Paralegal in the Boston, San Francisco, or New York office. As a Corporate Paralegal, you will support the delivery of quality legal services to clients by performing technical tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills and computer proficiency. You will manage complex projects independently under limited supervision, maintain confidential client information, improve workflow regarding storage and recall of materials, oversee IPO transaction tasks, including draft checklists, attend due diligence meetings, proofread legal documents and coordinate site visits. You will create and proofread agreements for content, accuracy and format, prepare deal documents, including disclosures, exhibits, SEC filings, questionnaires, financing statements, cusip number applications, purchase agreements and merger agreements. You will provide pre-closing, closing and post-closing assistance, conduct non-legal and legal research; perform due diligence Prepare correspondence, audit letters responses, working group lists and closing checklists.

A bachelor's degree is required, and a paralegal certificate from an ABA-approved training program is preferable but not required. You should have 2+ years of Corporate Paralegal experience and Microsoft Office proficiency (Outlook, Excel, PowerPoint). Strong research skills utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc. are required. Experience in IPO and public company matters is a plus, but not required. Great communication skills written and verbal, strong organizational and time management skills to handle multiple projects and deadlines. Understanding of corporate and securities law, including SEC regulations. Ability to conduct thorough legal and factual research. Ability to work accurately and meticulously, ensuring the accuracy of documents and filings. Prior experience in a legal or financial setting, particularly in capital markets or corporate finance, is preferred.

The expected salary range for this position is between: Up to 5 Years of Experience: $60,000 - $100,000 5+ Years of Experience: $90,000 - $150,000 Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
