Overview
Planned Parenthood of Orange and San Bernardino Counties has a full-time opportunity for a General Counsel / Vice President of Risk Management & Legal Strategy in Anaheim, CA.
This is a hybrid position (3 days on-site/2 days remote).
Reporting to the President/CEO, the General Counsel/Vice President of Risk Management and Legal Strategy is responsible for the planning, development, andexecutionof thelegal, corporate governance, business contracts, ethics, and enterprise risk management programs that are core to the mission of Planned Parenthood of Orange and San Bernardino Counties (PPOSBC). Leads the in-house Legal Department, as well as the security and business continuity team, providing leadership and mentorship. The General Counsel partners with internal stakeholders and state and national experts to monitor legislative and regulatory developments affecting the organization and provide strategic legal guidance and recommendations. This position develops legal strategy and framework to support organizational strategic initiatives and is a member of the Executive Leadership Team. Serves as senior legal advisor for executive management and Board of Directors. Also serves as General Counsel to the Community Action Fund of Orange and San Bernardino Counties (a 501(c)4 organization). Establishes and manages relationships with external legal counsel, other professional advisors, and key external partners.

Qualifications
JOB REQUIREMENTS:

Licensure and/or Certification Requirements:
- State bar membership in good standing, either California or Registered In-House Counsel in California with substantive California law knowledge.
Minimum Education:
- A Juris Doctorate from an accredited university is required.
Minimum Relevant Professional Experience:
- Must have healthcare experience.
- Minimum 10 years work experience in a majority of the following areas: corporate and board governance; healthcare regulatory law; medical professional liability management; civil litigation; complex contracting; federal and state privacy and protected health information laws and regulations; enterprise risk management; California employment and labor law; commercial real estate; patient safety processes; security/law enforcement-related legal and risk issues; and nonprofit, political activity, and election law. Experience in reproductive health space, highly preferred.
- Experience at the VP level or equivalent role (e.g., officer, director, or other organizational decision-making role) highly preferred.
- Demonstrated ability as an effective executive-level leader including coaching and team-building skills, delegation, critical thinking skills, and strategic solutions-based communication.

- Ability and willingness to travel to and visit Planned Parenthood centers. This position requires travel to other sites and locations; if using a personal vehicle to meet this requirement, a valid CA driver’s license and current auto insurance in compliance with the minimum requirements of CA vehicle code are required.
- Abortion patients are cared for at each of our health centers and in part through the administrative, support, and other non-clinical services provided at all PPOSBC locations and by all PPOSBC employees, and supporting these critical services is an essential job duty and fundamental responsibility of all employees.
Responsibilities
JOB DUTIES AND RESPONSIBILITIES :
Essential Functions: Essential functions encompass the required tasks, duties, and responsibilities performed as part of the job and the reason the job exists.
- Support and advise leadership on legal matters that affect the organization in all areas, including but not limited to corporate governance; healthcare; real estate; labor and employment; nonprofit/tax-exempt, political, and electoral laws and regulations; and privacy.
- Provide strategic leadership for the Legal Department, including talent development, mentorship, succession planning, legal operations, technology and process improvement initiatives, and the effective deployment of internal and external legal resources to meet organizational needs.
- Oversee legal review and strategic guidance related to organizational policies and procedures, contracts and contract lifecycle management processes, and other business transactions.
- Serve as advisor to the President/CEO on emerging legal and political developments affecting the organization’s operations, and be a thought partner on developing long-term plans to continue core mission activities in constantly changing legal and political landscape.
- Oversee organizational security and business continuity program including staff performing those functions.
- Direct the management of litigation, disputes, claims, subpoenas, and other legal proceedings, including engagement and oversight of outside counsel.
- Develop and deliver legal guidance, training, presentations, and educational materials to support informed decision-making and legal risk awareness throughout the organization.
- Provide legal oversight, counsel, and strategic guidance regarding investigations and the resolution of legal, insurance, risk, patient safety, and compliance-related matters, in partnership with organizational leaders and the Compliance Officer, as appropriate.
- Advise on PPOSBC’s compliance with local, state, and federal laws and regulations, and partner with Compliance Officer to build and maintain a culture of compliance and risk management throughout the organization.
- Partner with Executive Leadership Team to develop and implement organizational strategic plans and provide legal strategies to assist with decision-making around business operations and transactions.
- Collaborate with counterparts across affiliated organizations on matters of shared legal, operational, policy and/or strategic importance.
- Advise President/CEO and Board of Directors on governance, legal, and risk management matters and attend Board and applicable committee meetings. Mastery of PPOSBC’s bylaws and other governing documents and serve as a resource to other team members and leadership on governance-related issues.
- Oversee selection, retention, management, and partnership with outside counsel to support PPOSBC’s operational needs and legal compliance activities.
- In conjunction with Office of the President/CEO and other senior staff as may be applicable, review and manage organizational insurance portfolio for optimum risk mitigation and risk management.
- As requested by CEO and/or Chief Communications Officer, serve as spokesperson for organization on legal matters and changes in legal landscape that impact PPOSBC services and operations.
Executive Team Member
- Serve as member of Executive Team, supporting culture of collaboration and accountability and providing leadership and mentorship that represents organizational WE CARE values and mission throughout organization.
- Responsible for preparing and managing budget for Risk, Legal, and Compliance Department, making recommendations for cost containment strategies and ensuring department meets budget goals, in partnership with CFO.
