Senior Corporate Paralegal

Our client is a private equity-backed energy industry company that has grown rapidly and successfully through a string of acquisitions. As the company positions itself for a potential public listing, it's building out its legal function to match the scale and governance rigor investors expect from a company this size, and that's where you come in. This is the company's first dedicated Senior Corporate Paralegal hire. You won't be joining an established process and keeping it running. You'll be building it. That means corporate governance, SEC-readiness, and stock plan infrastructure designed from the ground up. What you'll own: Corporate records and entity management across a multi-entity structure that's grown through acquisitions Board and committee materials, including the kind of documentation rigor that supports institutional investors and future public company reporting Entity formation and dissolution as the company continues to consolidate and integrate acquired businesses SEC filing support and stock plan administration, building processes that scale rather than patching them together deal by deal Legal technology implementation, since a growing legal team needs systems that don't require constant manual workarounds Cross-functional work with internal teams and outside counsel to keep pace with a company that closes deals often What you bring: 8+ years of corporate paralegal experience, including exposure to M&A, capital markets, and corporate governance work, and ideally including public company experience Comfort working independently in a lean team where you're setting the standard, not just following one Judgment and discretion with sensitive corporate information A builder's mindset. You should want to be the person who designs the process, not just the person who executes it This role suits someone who's done the maintenance work at a bigger shop and is ready to build something from scratch. The ideal candidate will have SEC filings and equity plan administration experience, but a motivation and aptitude to learn is also welcome.
