Direct Counsel is seeking a Tax Associate Attorney to join a leading law firm. The ideal candidate will have 3-4 years of experience in general transactional tax matters and the ability to work closely with corporate attorneys and clients on sophisticated business transactions.

Locations: Boston, MA; New York, NY; San Francisco, CA; Silicon Valley, CA

Responsibilities:

• Advise clients on a broad range of transactional tax matters in connection with sophisticated corporate and business transactions.
• Work closely with the firm’s corporate practice and other practice groups to provide integrated tax advice.
• Advise on the tax aspects of mergers, acquisitions, divestitures, and other strategic transactions.
• Handle tax matters involving partnerships, LLCs, joint ventures, and other business structures.
• Advise clients on private equity transactions and fund formation.
• Provide tax advice regarding real estate transactions, real estate fund formation, and real estate investment trusts.
• Support venture capital transactions and fund formation matters.
• Advise on financing and capital markets transactions and related tax considerations.
• Draft, review, and negotiate transaction documents and tax provisions.
• Work collaboratively as part of a deal team while independently managing substantial components of transactions.
• Communicate complex tax issues clearly and effectively to clients, attorneys, and other deal team members.

Qualifications:

• 3-4 years of law firm experience in general transactional tax matters.
• Experience advising on the tax aspects of corporate and transactional matters.
• Strong ability to work collaboratively within a team while independently managing significant components of transactions.
• Outstanding academic credentials and comparable law firm experience.
• Excellent written and verbal communication skills.
• Strong analytical, organizational, and attention-to-detail skills.
• Relevant bar admission or eligibility to obtain admission promptly.

Compensation: $260,000-$310,000 annually, plus potential bonus and comprehensive benefits. Compensation may vary based on experience, qualifications, location, and other applicable factors.
