Senior Counsel

A leading energy infrastructure platform is seeking a Senior Counsel (Finance & M&A) to support its growing portfolio of power assets and development projects across North America. Backed by a prominent global investment firm, the organization is focused on the optimization, acquisition, and development of large-scale energy assets and is actively expanding its footprint through strategic transactions and new-build projects. This role will operate a hybrid work schedule out of Houston, TX or Princeton, NJ. The Role Reporting directly to the General Counsel, this individual will play a critical role in supporting high-impact transactional work across corporate finance, project finance, and M&A. The position partners closely with senior leadership and cross-functional teams to drive execution of complex deals while balancing legal risk and commercial objectives. Key Responsibilities Lead and support acquisitions, divestitures, and strategic investments within the energy infrastructure space Draft and negotiate transaction documents including NDAs, LOIs, purchase agreements, joint ventures, and related materials Oversee due diligence processes, assess risk, and advise on transaction structuring Provide legal support on debt and equity financing transactions Review and negotiate credit agreements, security documents, intercreditor agreements, and related financing materials Support refinancing and optimization of operating assets Ensure alignment between financing structures and commercial/operational agreements Qualifications J.D. from an accredited U.S. law school and active bar membership 8+ years of experience in M&A, project finance, and complex transactions Experience within the energy or infrastructure sector strongly preferred Prior in-house experience is a plus Strong commercial judgment, attention to detail, and ability to manage multiple high-priority matters Effective communicator with the ability to work across senior stakeholders and external partners Why Join Opportunity to work on high-profile transactions within a growing energy platform Collaborative, commercially driven environment with direct exposure to executive leadership Strong backing from institutional capital with a long-term investment strategy #J-18808-Ljbffr Larson Maddox
