Mergers & Acquisitions Associate

Direct Counsel represents an AmLaw 100 firm seeking a mid-level M&A Associate with 3+ years of sophisticated transactional experience to join its Mergers & Acquisitions practice in Chicago, Denver, or New York .

The ideal candidate will have strong experience with mergers and acquisitions, joint ventures, private equity transactions, and other complex corporate matters , particularly middle-market transactions. This role offers significant responsibility, direct client interaction, and the opportunity to work closely with partners throughout the full transaction lifecycle.

Responsibilities

• Draft and negotiate definitive and ancillary transaction documents .
• Handle M&A, joint ventures, and private equity-sponsored transactions .
• Manage due diligence processes and coordinate transaction teams.
• Advise private companies, investors, and portfolio companies on corporate matters .
• Counsel clients on financings, entity formation, corporate governance, and commercial agreements .
• Work directly with partners and clients while managing multiple matters and increasing responsibility.

Qualifications

• 3+ years of sophisticated business and transactional experience .
• Strong experience with M&A, joint ventures, and complex corporate transactions .
• Experience with private equity-sponsored and middle-market transactions preferred.
• Excellent legal writing, communication, analytical, and problem-solving skills.
• Ability to manage multiple matters efficiently and take ownership of significant responsibilities.
• Strong client-service orientation and ability to work effectively in a collaborative, team-oriented environment .
• J.D. from an accredited law school.
• Active bar admission and membership in good standing in the jurisdiction where the candidate intends to practice.
• Excellent academic credentials.
