Senior Counsel- Products and Platforms

Location: Anywhere in Country Senior Counsel – Products and Platforms The opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support for the provision of technology products and platforms to EY clients. Your focus will be on drafting, updating, and negotiating client‑facing software licenses and SaaS agreements, as well as providing internal legal support to various EY technology and product teams from ideation to go‑to‑market. Your Key Responsibilities Draft and negotiate client‑facing product and platform agreements, including advising on contractual strategy and risk. Collaborate closely with other members of the US GCO and local counsel in EY member firms. Work with intellectual property counsel and procurement counsel on product and platform development and commercialization. Coordinate with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality, and Tax) as needed. Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms. Support and advise internal product teams in the development of new products and platforms. Gain a working understanding of the full range of tools, products and platforms to provide effective product counsel. Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable to team leadership. Provide practicable legal advice to internal product teams and business stakeholders in cross‑functional settings. Build relationships and team seamlessly with other members of GCO to deliver exceptional legal service. Develop and deliver training on product and platform agreements, knowledge sharing, and best practice across the legal network and business. Continually learn, contribute and innovate in a dynamic space. To qualify, candidates must have 7+ years of technology‑related transactional experience in a client‑facing capacity, including drafting and negotiating product and platform agreements. A strong background in supporting SaaS, software licenses, emerging technologies, and various go‑to‑market delivery models. Experience developing contracting templates, playbooks and standards. Adept at leveraging legal and collaboration tools and technology to optimize teaming. Experience in data privacy, data security, licensing, and intellectual property law. Experience with cross‑border contracting, including local country agreements and cross‑border data transfer. Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain related legal and business risks. Excellent communication skills, both oral and written. Excellent negotiation and interpersonal skills. High degree of cultural and emotional intelligence, with resilience, flexibility and adaptability to changing circumstances. Ability to work independently and team effectively across functions and geographic locations. Ability to analyze complex legal and contractual principles, balancing risk from legal and commercial perspectives. Highly responsive, managing high workload volumes and competing priorities efficiently. Solution oriented with a focus on exceptional client service. Experience in a product counsel role with negotiation leadership. A bachelor’s degree from an accredited 4‑year college. A Juris Doctor from an accredited law school. Membership in a State Bar as an attorney qualified to practice law. Good standing with the applicable State Bar, including current Continuing Legal Education requirements.
