Technology Transactions and Commercial Agreements Associate

A law firm seeks a mid-level associate to join its Technology Transactions and Commercial Agreements team in Chicago, IL. The role involves structuring, negotiating, and closing complex commercial agreements related to technology and intellectual property across various industries. Duties Structure and negotiate complex commercial contracts and technology deals. Handle software licensing and cloud services agreements. Draft software, data, and IP development agreements. Manage channel, reseller, and distribution agreements. Conduct IP due diligence in M&A and financial transactions. Requirements 3-5 years of experience in technology transactions and commercial agreements. Experience with AI/ML, semiconductor development, and digital assets is preferred. Strong analytical, writing, and project management skills. Ability to work collaboratively across teams and offices. Education Juris Doctor from a top-tier law school. Certifications Bar admission in the relevant jurisdiction. Skills Excellent analytical and writing skills. Proficiency in project management.
