Title: Oil & Gas Attorney (Transactional/Title)

Salary: $140k-$170k/yr DOE

Location: Houston, TX

Billables: 1900

Position Overview
We are seeking an experienced Oil & Gas Attorney to provide transactional and title counsel to energy company clients. The attorney will manage oil and gas title examinations, draft and negotiate exploration and development agreements, support acquisitions and divestitures, and advise on regulatory and commercial matters. The ideal candidate combines strong transactional skills with deep knowledge of mineral title issues and the legal and business dynamics of the oil and gas industry.

Key Responsibilities

• Conduct comprehensive oil and gas title examinations and prepare clear, well-reasoned title opinions and curative plans.
• Draft, review, and negotiate transactional documents including leases, purchase and sale agreements, joint operating agreements, farmout agreements, unitization agreements, and surface use agreements.
• Lead and coordinate due diligence for acquisitions, divestitures, financings, and joint ventures; identify and mitigate legal and title risks.
• Advise clients on state and federal regulatory compliance, permitting, royalty and leasehold issues, and environmental considerations affecting operations.
• Work closely with landmen, engineers, tax advisors, regulatory specialists, and outside counsel to support deal execution and operational needs.
• Manage closings and transactions, including preparing closing checklists and required documentation, and coordinating with counterparties and title service providers.
• Counsel clients on risk allocation, contract strategy, and business impacts of legal alternatives; provide practical, commercial advice to internal and external stakeholders.
• Support resolution of title disputes, boundary conflicts, and royalty or contract disputes; coordinate with litigation counsel when necessary.
• Maintain up-to-date knowledge of developments in oil and gas law, title practices, and industry market trends; contribute to client development and training within the firm or company.

Qualifications

• Juris Doctor (J.D.) from an accredited law school and active admission to practice law in the relevant state(s).
• 5+ years of experience practicing oil and gas law with a primary focus on transactional matters and title work (years may be flexible for exceptional candidates).
• Demonstrated expertise in conducting title examinations, preparing title opinions, and developing curative strategies for mineral and leasehold interests.
• Strong drafting and negotiation skills with experience on leases, JOAs, PSAs, farmouts, and related commercial agreements.
• Familiarity with state-specific oil and gas statutes, regulatory permitting, royalty frameworks, and environmental considerations affecting operations.
• Ability to manage multiple matters and deadlines, work cross-functionally with technical and commercial teams, and provide client-focused, commercially minded advice.
• Excellent oral and written communication skills and proven ability to build relationships with clients, industry partners, and colleagues.
• Preferred: experience with AAPL forms and practices, background working with landmen or in-house oil and gas companies, and experience in M&A or project finance transactions involving energy assets.
