Private Equity Mergers & Acquisitions – Junior Associate Attorney

Direct Counsel is seeking a Junior Associate Attorney to join a leading national law firm’s Private Equity group. The ideal candidate will have some experience with, or a demonstrated interest in, private M&A and growth equity transactions, along with a foundational understanding of transactional diligence and deal execution.

Locations: Boston, MA; New York, NY; San Francisco, CA; Santa Monica, CA

Qualifications

• 0–2 years of experience in private M&A, growth equity, or related transactional matters.

• Some experience with, or a demonstrated interest in, private M&A and growth equity transactions.

• Basic understanding of the diligence process, ancillary workstreams, and organizing signing and closing processes.

• Strong judgment and ability to proactively communicate with internal and external stakeholders.

• Ability to effectively manage client and counsel relationships.

• Outstanding academic credentials and comparable law firm experience.

• Excellent written and verbal communication skills.

• Admission to the relevant state bar, or eligibility to obtain admission promptly.

• Deal sheet required.

Responsibilities

• Assist with private M&A and growth equity transactions.

• Support due diligence processes and related ancillary workstreams.

• Assist with organizing and coordinating signing and closing processes.

• Conduct legal research and analysis in support of transactional matters.

• Draft and review transaction-related documents and correspondence.

• Collaborate with attorneys, clients, and opposing counsel throughout the transaction lifecycle.

• Manage multiple workstreams while maintaining strong attention to detail and deadlines.

Compensation & Benefits

The anticipated salary is $225,000 , with additional compensation and benefits available as applicable.
