Corporate Counsel – Real Estate/Construction

An hour north of Denver and ideally situated between Boulder, Fort Collins, and Greeley, JBS is the largest company headquartered in Colorado and one of the largest food companies in the world. We are seeking a motivated and proactive attorney to join our legal team, with a focus on real estate and construction related legal support with the intellectual curiosity and agility to handle a wide variety of complex legal matters involving varied business units and operations.

The Corporate Counsel will play a key role in supporting the Company’s legal needs across a broad range of real estate, construction, development, commercial contracting, and corporate matters. This dynamic role requires both legal expertise and business acumen to advance the Company's strategic growth initiatives, including real estate acquisitions and dispositions, greenfield and brownfield development projects, economic development opportunities, and major capital projects. The successful candidate will solve complex legal and business issues, working closely with internal stakeholders and external counsel to provide practical, business-oriented advice while ensuring the efficient management of legal resources. As a trusted advisor to the business, you will stay apprised of relevant legal and regulatory developments affecting the Company’s operations and provide guidance and training to key stakeholders as needed. You will collaborate extensively with teams across the organization, including operations, engineering, finance, procurement, and business leadership, to facilitate strategic objectives and ensure compliance with applicable legal requirements. In addition, you will have the opportunity to broaden your skill set by supporting a diverse range of legal matters facing a complex, growth-oriented global organization.

Responsibilities:

• Drafting, negotiating, and managing a broad range of real estate transaction documents, including purchase and sale agreements, leases, easements, closing documents, and related ancillary agreements, while coordinating with internal business partners and external stakeholders to ensure timely and accurate execution.
• Conducting and overseeing comprehensive real estate due diligence in connection with acquisitions, dispositions, and development projects, including title and survey review, environmental assessments, zoning and land use matters, permitting, and other property-related investigations.
• Advising business stakeholders on greenfield and brownfield development projects, including site selection, land acquisition, entitlement, permitting, infrastructure development, and related regulatory matters.
• Drafting, reviewing, and negotiating construction and development-related agreements, including engineering, design, EPC, GMP, construction management, and other project delivery contracts.
• Supporting economic development initiatives by negotiating and managing incentive agreements, tax abatements, grants, infrastructure agreements, and other arrangements with state and local governmental entities.
• Maintaining and overseeing the Company's real estate portfolio database and property records, including ownership, title, survey, environmental, permitting, development, and other asset-related information, while ensuring data integrity, facilitating risk management, and supporting real estate transactions, development projects, and business operations.
• Enhancing and maintaining key real estate and construction related contract templates, playbooks and training materials.
• Monitoring legal and regulatory developments that may impact the business, and providing clear, timely, and business-oriented advice to stakeholders.
• Supporting the Legal team’s efforts to streamline workflows, improve document management, and enhance legal operations.
• Other duties as assigned

Qualifications:

• J.D. degree from an accredited U.S. law school with a strong academic record.
• Minimum 7 years of experience; 10+ years preferred.
• Combination of law firm and in-house experience preferred.
• Licensed and in good standing with the Colorado Bar, or in another U.S. state with eligibility for admission on motion to Colorado.
• Excellent strategic and analytical skills and judgment, particularly in determining the significance of legal issues in tandem with business objectives.
• Strong interpersonal skills, including diplomacy and flexibility.
• The ability to work well independently as well as on a team, and the ability to interface effectively with personnel at all levels throughout the Company.
• Excellent written and verbal communication skills, with the ability to tailor communications and presentations to the specific intended audience in a way that is clear, concise, and persuasive.
• Ability to embody and project both confidence and humility.
• Can perform the functions of the job with or without a reasonable accommodation
• As a salaried position with the company, you may be required to travel at some point to other facilities, to attend Company events, or as a representative of the Company in other situations. The applicant who fills this position will be eligible for the following compensation and benefits:

• Benefits: Vision, Medical, and Dental coverage begin after 60 days of employment;
• Paid Time Off: sick leave, vacation, and 6 company observed holidays;
• 401(k): company match begins after the first year of service and follows the company vesting schedule;
• Base salary range of $150,000 - $175,000;
• Incentive Pay: This position is eligible to participate in the Company’s annual bonus plan, the amount of bonus varies and is subject to the standard terms and conditions of the incentive program; and

The posted salary range represents the Company’s good faith estimate of the compensation that the Company reasonably expects to pay for this role at the time of posting. Actual compensation will be determined based on factors including, but not limited to, relevant experience, skills, qualifications, tenure, internal equity, market data, and may vary accordingly.
