Associate Estate Planning Attorney

A highly regarded law firm is seeking an Associate with 3+ years of experience in transactional tax and business planning matters to join its Corporate Practice Group. This unique position offers a blend of transaction tax planning and corporate/M&A transactional work. The ideal candidate will have a solid foundation in federal, state, and local transaction tax matters, including S corporations and partnerships, along with experience planning and executing corporate transactions. This role is well suited for an attorney looking to build a practice that integrates both tax and corporate transactional work. A Tax LL.M. from a respected program is preferred. Key Responsibilities Transaction Tax Planning Work closely with partners to structure a variety of transactions to achieve tax planning objectives for middle-market businesses, owners, investors, lenders, and management teams, including: Business formations and restructuring transactions Joint ventures Acquisitions and dispositions of companies and assets Equity and debt financings Executive compensation arrangements Additional responsibilities include: Researching and analyzing complex federal, state, and local tax issues arising from proposed transactions Advising on tax-efficient transaction structures Monitoring and staying current on relevant tax law developments Corporate / Business Planning Partner with clients and internal teams on private-company transactions, including: Company and joint venture formations Asset and equity purchase and sale transactions Mergers, divisions, and other reorganization transactions Executive compensation matters Additional responsibilities include: Drafting and negotiating transaction documents, including governing documents, resolutions, purchase agreements, employment agreements, and related materials Staying current on legal developments affecting business planning and transactional matters Collaborating with attorneys across practice areas to ensure efficient execution of transactions Qualifications Education J.D. required Tax LL.M. preferred Experience Minimum 3 years of combined transactional tax and business planning experience in a law firm, accounting firm, corporate legal department, or similar environment Credentials Active bar admission in good standing in Texas or eligibility for admission through reciprocity/waiver Skills Strong analytical and problem-solving abilities Excellent legal drafting and negotiation skills Ability to communicate complex tax concepts clearly to clients and transaction teams Strong attention to detail and project management capabilities Compensation will be commensurate with experience, qualifications, and market factors.
