Legal Assistant
Proviso
Legal Assistant
Proviso is a business law firm helping clients navigate transformative transactions and everyday legal compliance. We combine experienced counsel, practical advice, and tech-driven execution to deliver a better legal experience for our clients.
We are building a modern law firm pairing talented professionals with technology-driven process. We are looking for a Legal Assistant who wants to play a meaningful role in our work.
Please review the instructions at the bottom of this post.
The Role
The Legal Assistant will work directly with our attorneys and clients across corporate, mergers & acquisitions (M&A), commercial real estate, and other transactional matters. While experience in these fields is greatly valued, it is not required to be considered for this role.
This is not an internal administrative position. You will help move client matters forward: communicating with clients, coordinating transaction processes, preparing and organizing documents, managing information and deadlines, and supporting attorneys from the beginning of a matter through closing.
In addition, there may be limited time required for internal administrative support (for example, supporting client intake or providing coverage for other administrative staff during absences).
The position is part-time (approximately 20 hours/week initially) and offers a hybrid working environment. Candidates should be located in or near Charlotte, North Carolina. Over time, we expect this role to take on greater responsibility, and there may be opportunity to transition to a full-time role in the future.
What You’ll Do
- Communicate directly with clients and attorneys regarding documents, information, signatures, deadlines, and next steps
- Support attorneys on corporate, M&A, commercial real estate, and general transactional matters
- Coordinate client intake and collect, organize, and maintain transaction and corporate records
- Prepare first drafts of routine legal documents, forms, correspondence, signature packets, and closing materials under attorney supervision
- Assist with entity formations, organizational documents, consents, resolutions, stock and ownership records, and state filings
- Support transaction diligence, including organizing data rooms, reviewing materials, tracking requests, and maintaining diligence lists
- Manage closing checklists and help coordinate signatures, third parties, filings, and other closing deliverables
- Assist with real estate transactions and leasing matters, including document organization, execution, and closing coordination
- Maintain organized matter files and prepare final closing sets and transaction records
- Track deadlines and open items and proactively follow up with clients, attorneys, and other transaction participants
- Help identify opportunities to make our processes more organized, efficient, and client-friendly
What We’re Looking For
We are looking for someone who is organized, responsive, thoughtful, and comfortable taking responsibility for quality and efficient work.
You should enjoy interacting with clients and keeping multiple moving parts organized. Strong judgment matters: we want someone who can understand what needs to happen next, communicate clearly, and follow a task through to completion rather than simply waiting for instructions.
Attention to detail is essential, but so is efficiency. Our clients expect work to be accurate, organized, and timely.
Requirements
- 2+ years of professional experience
- Prior legal assistant, paralegal, or similar experience strongly preferred
- Excellent organizational skills and attention to detail
- Strong written and verbal communication skills
- Ability to manage multiple matters, deadlines, and workstreams simultaneously
- Confidence communicating directly with clients, attorneys, and other professionals
- Ability to prioritize and complete work with limited supervision
- Strong Microsoft Word, Outlook, Excel, and PowerPoint skills
- Comfort and interest in learning new technologies, including project management and artificial intelligence tools with appropriate supervision
- Collaborative, professional, and service-oriented approach
- Curiosity and willingness to learn how transactions and businesses work
