Cancellation Policy: For its convenience, Client may terminate the CPA which then terminates Client's participation in this Agreement, by providing AHSA at least thirty (30) days' prior written notice. In the event this Agreement is terminated by Client during the first one (1) year of the Term, and such termination is not due to a breach of the terms or conditions of this Agreement by AHSA, Client shall reimburse AHSA a prorated amount of its actual implementation costs in an amount not to exceed the amounts set out in CPA. AHSA shall submit an invoice to Client within thirty (30) days of Client's notice of termination setting forth the final accounting of its actual implementation costs, with such detail as shall be reasonably requested by Client. Client shall pay such invoice per Client's normal payment terms.

Section 4.4.1 Termination for Convenience is amended and restated as follows: AHSA may, at the direction of any Client, terminate any Staff Assignment Confirmation at any time, with or without cause, without responsibility. If exigent circumstances exist, Client may terminate the Assignment Confirmation by delivering notice directly to SSP or the Staff subject to the termination. Unless otherwise set forth on a Staff Assignment Confirmation, Client agrees to give a two-week notice for any Staff Assignment that Client desires to terminate without cause or Client agrees to pay for the remainder of the notice period if less than two weeks. In such case, SSP shall be paid for the Staffing Services rendered under the Staff Assignment until the termination becomes effective. If Staff cancels an assignment in progress without a two-week notice, SSP shall find an acceptable replacement to replace such Staff within two (2) weeks of said cancellation. If a suitable replacement is not provided, SSP shall be responsible for reimbursing Client/AHSA for the two (2) week period. If SSP cancels a confirmed assignment less than two (2) weeks prior to the assignment start date and acceptable replacement is not provided within two (2) weeks of the said start date, SSP will be responsible to Client/AHSA for the equivalent cost of two (2) weeks (based upon applicable minimum guaranteed hours) at the applicable assignment bill rate. If Client is not seeking to fill the position with a replacement, no cost shall be assessed.

Section 4.5.1 Early Termination by SSP is amended and restated as follows: If SSP terminates a Provider Assignment Confirmation with less than thirty (30) days' notice in writing, SSP shall be responsible for any non-recoverable, reasonable expenses incurred by SSP as a result of such early termination, including but not limited to airline penalties for cancellation or rescheduling of airline flights and non-refundable housing deposits.

Section 4.5.2 Early Termination of Client is amended and restated as follows: If Client (through AHSA) terminates an Assignment Confirmation with less than thirty (30) days' notice in writing, Client shall be responsible to pay SSP (through AHSA) for any non-recoverable, reasonable expenses incurred by SSP as a result of such early termination, including but not limited to airline penalties for cancellation or rescheduling of airline flights and non-refundable housing deposits, but in no event greater than as set forth in the Client travel policy, if applicable. In addition, Client shall pay SSP eighty percent (80%) of the actual amount owed for the pre-defined hourly or shift services scheduled in the Assignment Confirmation for up to thirty (30) days of Services.

Section 4.5.4 Termination for Cause is amended and restated as follows: In the event a Provider Assignment is terminated for allegations of misconduct, the corresponding Assignment Confirmation shall be terminated immediately upon AHSA and/or SSP being notified of such misconduct allegations. If exigent circumstances exist, Client may terminate the Assignment Confirmation by delivering notice directly to SSP or the Provider subject to the termination. In addition, SSP shall not bill AHSA or Client for any Provider Services or costs incurred for the shifts where the alleged misconduct occurred.
