The role will focus on drafting, reviewing, negotiating and redlining real estate agreements — including ground leases, easements, and fee simple acquisitions —, performing real estate due diligence (including title and survey analysis) as well as the supervision and time-management of administrative staff and paralegals, all in connection with M&A transactions. The ideal candidate shall be able to responsibly self-start and logically self-prioritize matters in a fast-paced environment with a wide range of hierarchical positions. The attorney will partner cross-functionally within the M&A team and with other departments and play a key role in managing and executing transactions from inception through closing.What You Will Do – Primary ResponsibilitiesDraft, review, negotiate, and redline real estate agreements, including:Ground LeasesTenant LeasesEasementsPurchase AgreementsClosing DocumentsVarious other contracts and agreementsAnalyze title commitments, survey and other due diligence materials and recommend solutions for curing identified issues, if anyWork with internal colleagues at the M&A department to identify and resolve due diligence issuesManage transactions through closingEnsure timely and accurate closingsPrioritize deal demandsCoordinate with internal and external stakeholders, sellers, and title agentsProvide legal guidance and respond to real estate related questionsAssist with amendments, extensions, terminations, expansions, assignments, and other modifications to existing real estate agreementsSupervision and management of administrative staff and paralegals and, if and as needed, outside counselOther:Self-motivated with the ability to take ownership of matters and drive transactions forwardHard-working and responsive with a sense of follow-throughDetail-oriented, with a high level of accuracy in drafting, reviewing, and managing transaction documentsTeam player who collaborates with legal internal and external colleagues and business partnersWhat You’ll Need – Qualifications & RequirementsJuris Doctor (J.D.) from an accredited law schoolActive bar admission in at least one U.S. jurisdiction6-10 years of experience practicing real estate law in a law firm or in-house for a large size companySophisticated real estate knowledge, with strong title and survey analysis and problem-solving abilities — highly preferredStrong written and oral communication skillsAttention to detail in the preparation and review of contracts and supporting documentsStrong organizational skillsAbility to accomplish multiple tasks within agreed upon timeframesPhysical Demands:The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.
