About the Role
The Company is seeking an Assistant General Counsel to join their legal team. The successful candidate will serve as a senior legal advisor, providing strategic counsel on a wide range of corporate law matters, banking law and regulations, corporate governance, and complex transactions. This role is pivotal in supporting the company's mission as a relationship-driven community bank, and the Assistant General Counsel will be expected to partner closely with executive leadership and business stakeholders to deliver practical, solutions-oriented legal guidance. Key responsibilities include serving as a trusted legal advisor, supporting corporate secretary tasks, ensuring compliance with federal and state banking laws, and playing a key role in various strategic transactions. The role also involves proactively identifying and mitigating legal, regulatory, and reputational risks, as well as overseeing the work of outside counsel and managing litigation. Applicants for the Assistant General Counsel position at the company should have a Juris Doctor (JD) from an accredited law school, be licensed to practice law in Massachusetts, and have at least 8 years of legal experience, preferably in banking, financial services, or another highly regulated industry. A deep understanding of securities laws, corporate governance, complex commercial contracts, and banking regulations is essential. The ideal candidate will have a strong strategic, analytical, and problem-solving skill set, excellent communication and negotiation abilities, and a practical, business-minded approach with a focus on sound judgment and attention to detail. The role requires the ability to manage multiple priorities in a fast-paced, regulated environment and to mentor and collaborate with other members of the legal team.
