Alternative Asset Opportunities Associate AttorneyDirect Counsel is seeking a Transactional/Funds Associate Attorney with 2–10 years of experience to join a leading global law firm and its highly regarded Alternative Asset Opportunities practice.Locations: New York, NY or Boston, MAPosition OverviewThe ideal candidate will have transactional or private funds experience and an interest in advising sovereign wealth funds and other large institutional investors on sophisticated investment transactions across multiple asset classes and global markets.This role offers the opportunity to work on complex secondary transactions, joint ventures, co-investments, fund investments, and other strategic investment opportunities, while collaborating with attorneys across transactional, tax, finance, and regulatory practices.ResponsibilitiesDraft, review, and negotiate transaction documents for complex investments across private equity, credit, real estate, venture capital, and infrastructure.Advise clients on deal structuring, governance arrangements, and regulatory considerations.Prepare and negotiate transaction agreements, limited partnership agreements, subscription documents, side letters, and related investment documentation.Advise sovereign wealth funds and other institutional investors on sophisticated investment opportunities.Collaborate with cross-disciplinary teams across transactional, tax, finance, and regulatory practices.Manage multiple transactions simultaneously from term sheet through closing.Utilize AI and emerging legal technologies to improve the quality and efficiency of legal work.Qualifications2–10 years of transactional or private funds experience at a major law firm.Experience with private equity transactions, fund formation, or related investment transactions.Demonstrated ability to draft and negotiate complex investment and/or fund-related agreements.Strong understanding of transactional matters involving sophisticated institutional investors.Excellent written and verbal communication skills.Strong attention to detail and ability to manage multiple matters and deadlines.Ability to work independently and collaboratively in a team-oriented environment.J.D. from an accredited law school.Admission to practice in the relevant jurisdiction required.Interest in leveraging AI technology and emerging legal tools to improve legal work.Compensation$235,000+ annually, depending on qualifications and experience, plus eligibility for a discretionary bonus.Application RequirementsCandidates should be prepared to submit a resume, cover letter, and law school transcript.
