Job Description

As an Director of Compliance and Contracting with OMES you will enjoy:

Responsibilities

Procurement Contracting

• Lead Central Purchasing's procurement contract drafting, review, and negotiation function.
• Review and negotiate supplier agreements, licenses, leases, terms and conditions, amendments, statements of work, and other procurement contract documents.
• Identify and mitigate contractual provisions that create unacceptable legal, financial, operational, or procurement risk to the State.
• Develop standardized negotiation positions, fallback provisions, contract playbooks, and escalation criteria for commonly negotiated terms.
• Provide contracting guidance regarding indemnification, limitation of liability, intellectual property, confidentiality, insurance, warranties, payment, termination, data ownership, governing law, and other contractual provisions.
• Establish risk-based contract review procedures so routine matters may be resolved efficiently while higher-risk matters receive appropriate additional review.
• Coordinate with OMES Legal and other subject matter experts when matters require specialized legal advice or representation.
• Support agencies and Certified Procurement Officers in resolving significant contract interpretation, amendment, performance, and vendor issues.

State Contract Standards and Template Governance

• Own and maintain the State's standardized procurement contracting framework.
• Develop, maintain, and periodically update State contract templates, including the Award Agreement, General Terms, specialized Information Technology Terms, Artificial Intelligence Addendum, Federal Funding Terms, lease agreements, and other contract documents.
• Develop standardized clauses and approved alternative language for recurring negotiation issues.
• Ensure State contract templates reflect current statutes, administrative rules, statewide procurement policies, technology standards, and other applicable requirements.
• Establish guidance identifying which contract documents, terms, and certifications apply to different acquisition types.
• Promote consistent use of State contract documents to reduce unnecessary contractual variation and risk across state government.

Procurement Compliance Program

• Develop, implement, and lead a comprehensive statewide procurement compliance program.
• Establish compliance standards based on the Oklahoma Central Purchasing Act, administrative rules, statewide procurement policies, and other applicable requirements.
• Develop compliance procedures, internal controls, guidance, and monitoring tools for Central Purchasing and state agencies.
• Monitor legislative, regulatory, and policy changes affecting procurement and coordinate implementation across Central Purchasing programs and contract documents.
• Identify patterns of noncompliance, systemic risk, and recurring agency issues and develop corrective guidance, training, or process improvements.
• Partner with agency Certified Procurement Officers to strengthen procurement compliance and accountability.
• Establish processes for documenting, escalating, remediating, and tracking significant compliance concerns.

Contract Transparency and Statutory Reporting

• Lead Central Purchasing's implementation and administration of statutory contract transparency and contract administration requirements.
• Provide business and compliance governance for the State's public contract database.
• Establish standards and procedures governing agency submission, validation, and publication of contract information.
• Oversee compliance processes related to vendor subcontractor reporting, statewide contract service documentation, contract performance assessments, and other statutory reporting requirements.
• Coordinate with agencies and technology teams to improve the accuracy, completeness, and timeliness of contract information.
• Develop procedures for identifying information potentially exempt from public disclosure and coordinate appropriate review when necessary.
• Monitor compliance trends and recommend policy, system, training, or process improvements.

Contract Management Governance

• Establish statewide standards and guidance for contract administration and contract management.
• Promote involvement of Certified Procurement Officers throughout the contract lifecycle, including contract formation, administration, performance monitoring, amendments, renewals, and closeout.
• Develop and maintain standard Central Purchasing contract administration tools and templates.
• Establish guidance for statements of work, deliverables, performance measures, contract guarantees, pricing controls, amendments, renewals, and closeout.
• Support agencies in addressing significant contractor performance and contract administration concerns.
• Use contractor performance and compliance information to support future procurement decisions and statewide contracting strategies.

Compliance Monitoring, Audit and Risk

• Develop a risk-based compliance monitoring program for state procurement activities.
• Establish compliance metrics, dashboards, and reporting mechanisms to identify trends, deficiencies, and emerging risks.
• Identify, assess, and mitigate contractual, procurement, financial, operational, and regulatory risks.
• Coordinate or support procurement compliance reviews and internal and external audits.
• Monitor remediation of procurement findings and corrective actions.
• Maintain documentation necessary to demonstrate Central Purchasing and agency compliance with applicable requirements.
• Provide Central Purchasing leadership with actionable information regarding significant contracting and compliance risks.
• Coordinate with Procurement Audit and Compliance to avoid duplication and establish clear responsibility for advisory compliance, monitoring, and formal audit functions.

Procurement Policy and Governance

• Lead development and maintenance of contracting and compliance portions of the Oklahoma Procurement Manual.
• Develop statewide procurement policies, procedures, standards, and interpretive guidance.
• Ensure guidance clearly distinguishes statutory requirements, administrative rules, statewide policy requirements, and recommended best practices.
• Maintain consistency among the Procurement Manual, CP Library, contract templates, procurement certifications, training materials, and operational processes.
• Provide procurement compliance and contracting input on proposed legislation, administrative rules, policies, and major statewide initiatives.

Training and Agency Advisory Services

• Develop and deliver training regarding procurement contracting, contract negotiation, statutory compliance, contract management, and procurement risk.
• Develop practical contract guides, negotiation resources, FAQs, compliance tools, and other educational materials.
• Provide advisory support to Certified Procurement Officers and agency procurement personnel regarding complex procurement and contracting matters.
• Translate complex statutory and contractual requirements into practical guidance that agencies can readily implement.
• Develop targeted training and corrective guidance based on compliance findings and recurring contracting issues.

Leadership and Program Management

• Lead the Procurement Compliance & Contracting team and establish its organizational structure, service standards, priorities, workflows, and performance expectations.
• Supervise and develop attorneys, contract specialists, compliance professionals, analysts, and other assigned personnel.
• Establish measurable service-level expectations for contract review and negotiation.
• Develop workload and performance metrics, including contract review turnaround times, compliance trends, agency support activity, and statutory reporting performance.
• Promote a service-oriented approach focused on timely, practical solutions that protect the State while enabling agencies to accomplish their missions.
• Serve as a liaison among Central Purchasing, OMES Legal, Information Services, Finance, Risk Management, state agencies, auditors, and executive leadership.

Education and Experience

• Required:
  • Significant professional experience involving government contracting, public procurement, commercial contracting, regulatory compliance, contract negotiation, or related legal practice.
  • Demonstrated experience reviewing, drafting, and negotiating complex contracts.
  • Demonstrated experience interpreting and implementing statutory or regulatory requirements.
• Preferred:
  • Juris Doctor degree from an accredited law school.
  • Experience with Oklahoma state government or public-sector procurement.
  • Experience developing compliance programs, contract standards, policies, or governance frameworks.
  • Experience leading professional staff or multidisciplinary teams.
  • Certified Procurement Officer certification or ability to obtain certification within a period established by Central Purchasing.

• Ability to develop standardized contract language, policies, templates, procedures, and governance frameworks.
• Ability to interpret legislation and translate statutory requirements into practical operational processes.
• Strong analytical, organizational, leadership, and problem-solving skills.
• Excellent written and verbal communication skills.
• Ability to communicate complex legal and procurement requirements to nonlegal audiences.
• Ability to manage competing priorities and deliver timely contracting and compliance services.
• Ability to use compliance data, performance metrics, and risk indicators to improve statewide procurement practices.

Physical Demands and Work Environment

This position works in a comfortable office setting for a large percentage of the workday. The noise level in the work environment is mild. If telework is available, employee must follow the telework guidelines. This position requires the ability to occasionally lift paper and office supplies and to perform job duties on a computer and telephone for 6 - 8 hours per day. occasional travel may be required.
