Corporate Associate Attorney

Location: Portland, OR

Direct Counsel is seeking a Corporate Associate Attorney to join a leading national law firm in its Corporate, M&A, and Securities practice. The ideal candidate will have 2–5 years of experience advising public and private companies, investors, private equity funds, venture capital funds, founders, and/or emerging growth companies on a broad range of corporate matters.

The Associate Attorney will have the opportunity to work on sophisticated transactional matters, including:

• Mergers and acquisitions

• Venture capital financings

• Commercial and strategic transactions

• Corporate governance

• Securities matters

• Acquisition agreements and related transaction documentation

Candidates should have a strong working knowledge of acquisition agreements and related transaction documents, including experience drafting and negotiating these materials.

Qualifications

• 2–5 years of corporate transactional experience

• Experience representing public or private companies, investors, private equity funds, venture capital funds, founders, and/or emerging growth companies

• Experience with M&A, venture capital financings, commercial transactions, corporate governance, and/or securities matters

• Strong knowledge of acquisition agreements and related transaction documentation

• Excellent drafting and negotiation skills

• Strong interpersonal and communication skills

• High degree of maturity and business judgment

• Strong business sense and ability to effectively manage internal and external client relationships

• Excellent academic credentials

• Experience in a sophisticated law firm environment

• J.D. from an ABA-accredited law school

• Licensed or eligible for admission in the jurisdiction where the candidate will practice

• Must reside in the applicable jurisdiction at or prior to the time of hire

• Ability to work in the office at least 3 business days per week
