Job Overview A law firm seeks an experienced Of Counsel to join its Phoenix office. The role involves practicing in public company reporting, compliance, corporate governance, and capital markets, working closely with public companies. Duties Conduct thorough legal research and analysis to support transactions. Draft legal documents, including memos and contracts. Assist in managing complex transactions from inception to resolution. Build and maintain strong client relationships. Collaborate with lawyers and business professionals on transaction strategies. Ensure compliance with legal standards and regulations. Participate in professional development opportunities. Engage in firm programs and community involvement. Requirements Minimum 8 years of experience in public company and capital markets. Experience with ongoing periodic reporting for public companies. Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934. Experience with Nasdaq and NYSE listing and governance requirements. Experience with issuers, underwriters, and financial intermediaries. AmLaw 100 law firm experience preferred. EducationJD degree from an accredited law school. CertificationsAdmitted to practice in the state of Arizona. SkillsExcellent written and verbal communication abilities. Strong research, analytical, and problem-solving skills. Attention to detail and good business judgment. Ability to work collaboratively and independently. Persuasive communication and management skills.
