Corporate Associate - Securities/Capital Markets

Job Overview A law firm seeks a Corporate Associate to join the Capital Markets practice group in Dallas, TX. Exceptional candidates may be considered for remote work in other markets. Duties Represent issuers, investment banks, and investors in debt, equity, and structured transactions. Assist investment banks with regulatory compliance and advisory engagements. Advise on registration requirements and draft registration statements and offering documents. Manage transactions and lead due diligence teams. Requirements Three to five years of experience in securities law and capital markets transactions. Expertise in public securities offerings, including IPOs and PIPEs. Experience with public company reporting obligations and corporate governance. Excellent writing skills and superior academic credentials. Ability to manage multiple assignments with minimal supervision. Education Juris Doctor (JD) degree from an accredited law school. Certifications Bar admission in the state of Texas or eligibility for admission. Skills Strong analytical and problem‑solving skills. Effective communication and interpersonal abilities.
