Reporting to our Corporate Counsel, you’ll have the opportunity to take meaningful ownership of legal matters, work directly with stakeholders across the organization, and help shape practical solutions to complex business needs. You’ll serve as a key partner on commercial contracting and gain exposure to a diverse range of corporate legal matters, from governance and intellectual property to real estate and entity structuring. This role is a means to make a difference: you will help Voleon operate efficiently and responsibly by enabling commercial relationships, strengthening corporate legal infrastructure, and providing practical legal support as the business continues to evolve.ResponsibilitiesDraft, review, and negotiate a broad range of commercial agreements, including NDAs, master services agreements, statements of work, SaaS and software agreements, and data-related agreementsServe as a key legal partner to stakeholders across Voleon and its affiliates, providing practical guidance on commercial matters, business risks, and negotiationsManage commercial negotiations from initial review through execution, including working directly with counterparties and their counselDevelop and improve contract templates, negotation guidance, playbooks, and other resources to support efficient and consistent contracting practicesSupport a variety of general corporate matters, including entity governance, corporate records, entity structuring, intellectual property, trademarks, and real estateCollaborate with the Legal team and cross-functional stakeholders on a broad range of legal, regulatory, and business mattersIdentify opportunities to strengthen legal operations and take on additional responsibilities as Voleon's business continues to evolveRequirementsJ.D. from an accredited U.S. law school and active membership in good standing in at least one U.S. state bar2–4 years of relevant legal experience, including experience at a leading law firmSignificant experience drafting and negotiating commercial agreements, including MSAs, SOWs, SaaS or technology agreements, data-related agreements, and NDAsDemonstrated experience negotiating commercial agreements from both the customer and vendor perspectivesStrong contract drafting, issue-spotting, and negotiation skillsAbility to evaluate legal risk in the context of business objectives and provide practical, commercially oriented adviceExcellent written and verbal communication skills, including the ability to work effectively with both lawyers and non-legal stakeholdersStrong organizational skills and the ability to manage multiple matters independently in a fast-paced environmentSound judgment, intellectual curiosity, attention to detail, and a willingness to take ownership of matters while knowing when to escalate or seek inputPreferred QualificationsExperience in a technology transactions, commercial transactions, or similar corporate practice at a leading law firmIn-house commercial counsel experienceExperience developing contract templates, negotiation playbooks, or improving contracting processesExposure to general corporate matters, such as entity governance, intellectual property, trademarks, real estate, or entity structuringInterest in expanding expertise across corporate and commercial legal matters as Voleon grows“Friends of Voleon” Candidate Referral Program If you have a great candidate in mind for this role and would like to have the potential to earn $7,500 if your referred candidate is successfully hired and employed by The Voleon Group, please use this form to submit your referral. Individual salaries are determined through a variety of factors, including, but not limited to, education, experience, knowledge, skills, and geography. Base salary does not include other forms of total compensation such as bonus compensation and other benefits.
