ABOUT THE ROLEProvide legal assistance, advice and counseling primarily regarding corporate law (including corporate governance), securities laws, contracts, mergers and acquisitions and other corporate transactions, including debt and equity financings, sustainability, lobbying compliance, and other public company matters. Assist with Corporate Secretary matters, including entity management.WHAT YOU WILL DOResponsible for researching, analyzing and communicating laws and regulations relating to corporate governance, corporate law, financings, and securities matters.Assist with a broad range of corporate transactions, including debt and equity financings, mergers and acquisitions and other strategic transactions.Respond to legal inquiries and assist Crown Castle personnel with applicable legal issues.Provide assistance with respect to Corporate Secretary matters, including entity management, minutes, resolutions and corporate records.Draft, review and revise, as appropriate, contracts, securities filings and other documents regarding various matters.Assist with compliance with the Crown Castle Lobbying Policy and lobbying laws and regulations for all departments engaged in lobbying activities.Serve as the legal liaison to internal departments.Communicate effectively in written and oral presentations.WHAT YOU WILL NEED TO SUCCEEDEducation RequirementsBachelor’s DegreeJuris Doctorate from an accredited law schoolAttorney’s LicenseExperience QualificationsTwo (2) years to three (3)+ years of related legal experience with a law firm or public company legal departmentWorking knowledge of corporate and transactional legal mattersStrong legal research and drafting skillsKnowledge of and experience with contract, transactional and business lawAbility to work independently, problem solve and make decisionsCorporate governance and securities experience relating to publicly traded entities preferredSustainability-related legal experience usefulExpectations Ability to work with individuals of diverse background, personalities and opinionsAbility to maintain confidentialitySuperior communication skills – written and verbalStrong organizational skillsTelecommunications experience usefulOrganizational RelationshipReports to: Vice President, Corporate SecretaryTitle(s) of direct reports (if applicable): N/AWhere You Will WorkTo optimize collaboration, relationship building, and key stakeholder engagement, this roles aligns to a 4:1 hybrid model which is in office Monday-Thursday with the option for remote work on Fridays. YOUR COMPANY BENEFITSAt Crown Castle, we do our best to ensure you have access to the resources you need to live a healthy and happy life no matter where you are in life. A candidate's offer is determined by various factors including but not limited to, depth of experience, role-related knowledge and skills, relevant education or training, internal alignment, and work location.
