Responsibilities:

• IP & Technology Transactions: Structure, draft, and negotiate intellectual property and technology agreements, including licensing, outsourcing, managed services, and supply and distribution arrangements.
• IP Due Diligence: Conduct and support intellectual property due diligence in connection with transactions, financings, mergers, and strategic business combinations.
• Commercial Advisory Work: Advise clients on IP rights and technology issues across the business lifecycle, supporting both vendor and customer-side transactions.
• Cross-Practice Collaboration: Work closely with corporate, finance, and other practice groups on mergers, acquisitions, restructurings, and strategic alliances involving IP and technology assets.

Candidate Requirements

• Experience: 1–5 years of experience in intellectual property and technology transactions, including licensing, due diligence, and commercial agreements.
• Legal Qualifications: J.D. from an accredited law school and active U.S. bar membership in good standing.
• Technical Expertise: Familiarity with IP rights, technology transactions, and related commercial contracting.
• Skills: Strong analytical, written, verbal, and interpersonal communication skills.
• Academic Background: Excellent academic credentials with a strong attention to detail.
