Mid-Level Corporate AssociateDirect Counsel is seeking a Mid-Level Corporate Associate with 3–5 years of substantial M&A experience to join a sophisticated corporate practice. This opportunity is ideal for an attorney with experience at a leading corporate law firm who is interested in handling complex transactions for innovative companies, including clients in the technology and life sciences sectors.LocationsSilicon Valley, CASan Francisco, CASanta Monica, CASeattle, WANew York, NYBoston, MAResponsibilitiesRepresent clients in sophisticated mergers and acquisitions and other strategic corporate transactions.Assist with transactions throughout the full deal lifecycle, from initial structuring and due diligence through negotiation, signing, and closing.Draft, review, and negotiate acquisition agreements and related transaction documents.Conduct and coordinate legal due diligence.Identify and analyze corporate, contractual, and transactional issues affecting M&A transactions.Coordinate transaction processes and work closely with specialists across multiple practice areas.Advise clients on transaction structure, execution, and related corporate matters.Work directly with clients and take increasing responsibility for managing significant components of transactions.Qualifications3–5 years of M&A experience, preferably with a leading corporate law firm.Substantial experience handling sophisticated mergers and acquisitions.Superior academic credentials.Excellent drafting, analytical, oral, written, and interpersonal skills.Strong transaction-management and organizational abilities.Ability to work effectively in a fast-paced, collaborative corporate practice.Must be admitted in the jurisdiction of the applicable office or eligible to sit for or waive into the next available bar examination.Preferred ExperienceExperience representing technology and/or life sciences companies.Demonstrated interest or affinity for the technology and life sciences sectors.Compensation & BenefitsBase Salary: $260,000–$310,000, depending on experience, qualifications, credentials, and location.Discretionary performance-based bonus for eligible attorneys.Comprehensive healthcare benefits.Life insurance.Health Savings Account (HSA) options.Flexible Spending Account (FSA) options.Wellbeing benefits.Application MaterialsCandidates should be prepared to provide:ResumeCover letterDeal sheetLaw school transcriptWhy This OpportunityThis is an excellent opportunity for a mid-level corporate attorney to deepen their M&A experience while working on sophisticated transactions involving innovative and high-growth companies.
