§ Salary : $260,000 to $390,000 Base Compensation
§ Schedule : Fulltime, Direct-Hire, Minimum 1,850 hours annual billed target

§ Duties :
This role demands a self-directed professional capable of driving complex corporate transactions to successful closures. The associate will orchestrate various phases of the deal lifecycle, ensuring that both buy-side and sell-side clients navigate regulatory and commercial hurdles seamlessly. Core responsibilities encompass:
⨖ Structuring and negotiating primary transaction documents, including asset purchase agreements and merger plans.
⨖ Overseeing comprehensive due diligence processes and synthesizing findings to identify critical risk allocations.
⨖ Coordinating with specialist groups such as tax, employment, and intellectual property to ensure holistic deal execution.
⨖ Advising corporate boards and executive management on fiduciary duties, corporate governance, and strategic defensive measures.
§ Qualifications :
Candidates must possess the technical acumen to immediately impact a high-volume deal desk.
⨖ Juris Doctor from an ABA-accredited law school with a distinguished academic record.
⨖ Three (3) to Six (6) Years of direct experience managing corporate transactions at a sophisticated large law firm.
⨖ Active Bar License in the state of Texas.
⨖ Comprehensive understanding of corporate mechanics, capital structures, and entity formation.
§ Skills :
The following qualifications are highly desirable:
⨖ Specialized experience executing transactions within the traditional or renewable energy sectors.
⨖ Proven ability to autonomously manage client relationships and lead junior associates on complex deliverables.
⨖ Exceptional commercial awareness and the ability to translate legal risks into actionable business advice.
