Job Purpose
The Corporate Paralegal supports the General Counsel by delivering essential legal and administrative assistance across a variety of corporate and real estate matters. This role is responsible for preparing, reviewing, and managing legal documents related to corporate transactions, real estate deals, litigation, leasing, purchase agreements, mergers, dissolutions, and amendments. The Corporate Paralegal plays a critical role in ensuring the accuracy and timeliness of legal documentation, contributing to the efficient operation of the legal department.
Responsibilities
- Contract Preparation and Review: Assess and draft contracts for industries including real estate, facilities management, construction, commercial brokerage, and property management.
- Real Estate Closings and Leasing: Organize and coordinate commercial real estate closings, prepare closing checklists, timelines, and binders, and review leases, rent rolls, and loan documentation.
- Litigation and Compliance Support: Manage litigation activities, ensure compliance with labor and employment regulations, and maintain related documentation and records.
- Project and Legal Coordination: Assist with negotiating subcontracts, purchase orders, and certificates of insurance; manage permitting applications for construction projects; and lead legal and compliance initiatives.
- Administrative and Document Management: Proofread documents for accuracy, document processes, maintain electronic and hard copy records, and perform administrative tasks for the General Counsel.
Requirements
- Experience: Minimum of 3-5 years of related experience with a Bachelor's degree in Paralegal Studies, or 5-7 years of related experience without a degree.
- Legal Expertise: At least 3 years of experience in an in-house legal department or corporate law firm, focusing on real estate, corporate, and/or construction-related transactions.
- Education and Certification: Paralegal Certificate is required; a Bachelor's degree in Paralegal Studies is preferred.
- Technical Skills: Proficient in managing and preparing legal documentation for real estate, corporate, and construction transactions.
- Organizational and Compliance Knowledge: Familiarity with corporate compliance, legal research, and process documentation
