About the Opportunity
Direct Counsel is seeking an Insurance Associate Attorney to join a national insurance practice at a leading law firm. The ideal candidate will have experience with corporate transactions involving insurance businesses and meaningful exposure to insurance regulatory matters. This role involves advising insurers, reinsurers, insurance intermediaries, and other industry participants on complex transactional and regulatory issues.

Responsibilities

Advise clients on corporate transactions involving insurance businesses.
Support mergers and acquisitions, investments, restructurings, reinsurance transactions, joint ventures, and other strategic transactions.
Draft and negotiate transaction documents.
Analyze insurance regulatory requirements and advise on regulatory approvals and licensing matters.
Conduct regulatory due diligence and advise on corporate governance issues.
Coordinate multijurisdictional transaction workstreams.
Help clients navigate regulatory issues throughout the transaction lifecycle.
Work directly with partners and clients while assuming increasing responsibility for managing matters and transaction processes.

Qualifications

2-6 years of relevant legal experience.
Experience with corporate transactions involving insurance businesses.
Meaningful exposure to insurance regulatory matters.
Strong drafting, analytical, writing, and communication skills.
Sound judgment and the ability to manage multiple matters in a collaborative environment.
Strong academic credentials.
JD from an ABA-accredited law school.
Active membership in good standing with the bar of the jurisdiction(s) where admitted, with timely admission required in the state of the hiring office.

Compensation & Benefits

Salary range of $240,000-$390,000, depending on experience and qualifications.
