Corporate Paralegal

Ekspert Counsel is seeking an experienced Corporate Paralegal to support a busy in-house legal team on a wide range of corporate, transactional, and real estate matters. This role is ideal for a highly organized professional who enjoys managing complex projects, coordinating transactions, and working closely with business leaders, attorneys, and outside counsel. Responsibilities Support corporate governance, transactional, real estate, and general legal matters. Prepare, review, and organize contracts, NDAs, transaction documents, and related agreements. Coordinate transaction closings, including due diligence, entity documentation, good standing certificates, and lien searches. Manage closing checklists, timelines, and post-closing documentation. Prepare and maintain corporate governance documents, including entity formations, operating agreements, resolutions, certificates, and ownership records. Maintain legal department records, templates, databases, and document management systems. Review and organize title, survey, zoning, and related real estate documentation. Collaborate with internal stakeholders, outside counsel, and business teams to support ongoing projects and transactions. Qualifications 5-7+ years of paralegal experience supporting corporate, transactional, or real estate matters. Experience in a law firm or in-house legal department. Strong knowledge of corporate governance and entity management. Real estate transaction experience strongly preferred. Familiarity with CSC (Corporation Service Company) preferred. Experience reviewing title commitments, surveys, and zoning reports is a plus. Exceptional organizational, project management, and communication skills. Ability to manage multiple priorities and deadlines in a fast-paced environment. Bachelor's degree required.
