Location: This is an on-site opportunity based in Canfield, Ohio, offering a strong professional home in the greater Youngstown market with access to a well-established regional business community.

Note: Candidates must be licensed to practice law in Ohio and should bring 5+ years of transactional attorney experience. The ideal candidate will have 8+ years of corporate transactional experience.

Job Description

  • Draft, review, negotiate, and revise a wide range of corporate and commercial agreements.
  • Advise clients on business transactions, entity formation, governance, contract matters, and general corporate legal needs.
  • Support mergers, acquisitions, business succession matters, commercial transactions, and other deal-related work.
  • Conduct legal research, review due diligence materials, and help identify practical legal and business risks.
  • Work directly with partners, clients, opposing counsel, and internal teams to move transactions forward efficiently.
  • Prepare closing documents, resolutions, operating agreements, purchase agreements, and related corporate documentation.
  • Manage multiple transactional matters, deadlines, and client priorities with strong attention to detail and sound legal judgment.
  • Build trusted client relationships through responsive communication, practical advice, and high-quality work product.

Qualifications

  • Ohio law license required.
  • 5+ years of transactional attorney experience required.
  • 8+ years of corporate transactional experience strongly preferred.
  • Experience with corporate law, commercial contracts, business transactions, entity formation, governance, mergers and acquisitions, or related transactional matters.
  • Strong drafting, negotiation, analytical, and client communication skills.
  • Ability to manage multiple matters and deadlines in a professional law firm environment.
  • Detail-oriented, business-minded, organized, and able to work collaboratively with attorneys, staff, and clients.
