Corporate Transactions Mid-Level Associate Attorney
Direct Counsel is seeking a Corporate Transactions Mid-Level Associate Attorney to join a highly regarded Am Law 100 firm in Atlanta, Georgia or Chicago, Illinois .
This is an excellent opportunity for an attorney with 3–4 years of corporate transactional experience to join a nationally recognized practice representing public and private companies, private equity sponsors, and strategic investors in sophisticated mergers and acquisitions and other complex business transactions.
Key ResponsibilitiesRepresent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.
Draft, review, and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents.
Conduct legal due diligence and assist in managing transactions from initial structuring through closing.
Advise clients on corporate governance matters and transaction-related legal issues.
Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions for complex transactions.
J.D. from an accredited law school with excellent academic credentials.
Active Bar membership in good standing.
3–4 years of corporate transactional experience at a law firm.
Significant mergers and acquisitions (M&A) experience is required.
Strong drafting, negotiation, analytical, and organizational skills.
Excellent written, verbal, and interpersonal communication abilities.
Ability to manage multiple transactions in a fast-paced, collaborative environment.
