Emerging Companies & Venture Capital Associate | Seattle

Our client, a nationally recognized law firm with a highly regarded corporate practice, is seeking an Emerging Companies & Venture Capital Associate to join its Seattle office. This opportunity is ideal for an attorney who enjoys working with innovative startups, founders, and investors on sophisticated corporate transactions. The successful candidate will advise emerging growth companies throughout their lifecycle while working closely with venture capital funds, angel investors, and management teams on strategic business matters and financings.

Key Responsibilities

• Advise startups and emerging growth companies on formation, corporate governance, and ongoing operational matters.
• Support venture capital financings, including seed, Series A, and later-stage funding rounds.
• Represent venture capital funds, angel investors, and other investors in financing transactions.
• Assist with mergers, acquisitions, secondary transactions, and other strategic corporate matters.
• Draft and negotiate financing documents, investor rights agreements, governance documents, and related corporate agreements.
• Counsel founders and executive teams on legal and business issues throughout the company lifecycle.
• Coordinate due diligence and transaction execution for financing and M&A transactions.
• Collaborate with attorneys across complementary practice areas, including technology transactions, privacy, intellectual property, and other corporate specialties.
• Build strong relationships with clients and contribute to a collaborative, team-oriented practice.

Candidates should have 2-4 years of experience in emerging companies, venture capital, or general corporate transactional work at a law firm. Experience with startup formation, venture financings, and corporate governance matters is preferred. Ideal candidates will possess strong drafting, negotiation, analytical, and client-management skills, along with the ability to manage multiple matters in a fast-paced environment. A demonstrated interest in working with founders, technology companies, and venture investors is highly desirable. Candidates must hold a J.D. from an accredited law school and be admitted to practice in Washington or eligible to obtain admission promptly.

Compensation is expected to range from $215,000 to $290,000, depending on experience, qualifications, and other relevant factors.
