Private Equity Associate

Overview The Global Equity Group advises multinational companies on the design, implementation, and administration of employee equity compensation and incentive arrangements across jurisdictions worldwide, serving clients from emerging growth companies looking to expand internationally to Fortune 500 public companies managing existing complex global equity programs. The role involves advising US and multinational companies on the design, implementation, and ongoing administration of global equity compensation and employee stock purchase plans. Responsibilities include assisting clients with international legal, tax, employment, exchange control, securities, and regulatory issues impacting equity awards and incentive compensation arrangements, and advising on evolving global tax, securities, employment, labor, and data privacy requirements. The role requires drafting, reviewing, and negotiating documentation for equity incentive plans, stock option/restricted stock unit/performance award agreements, employee stock purchase plans, deferred compensation arrangements, and executive compensation/employment-related agreements. Key work also involves supporting corporate transactions such as mergers, acquisitions, spin-offs, and IPOs that involve employee stock plans and equity awards, including conducting legal research on global equity compliance and coordinating with local counsel worldwide. The position involves collaborating with attorneys across the firm's Corporate, Tax, Employment, Privacy, and Benefits practices on complex cross-border matters. A strong preference exists for candidates with experience in executive compensation, employee stock plans, equity awards, and cross-border employment matters, with an interest in international securities, tax, and employment-related issues, particularly in the context of mergers and acquisitions and other corporate transactions.
