Job Summary

Blue Sky Utility/NofarUSA, a renewable energy development and operations company focused on large-scale solar and energy storage, is seekingaGeneralCounsel tolead our in-house legal function andserve astheseniorlegalauthorityfor the company.The General Counsel willoverseeandmentorourSenior Counsel,collaboratewithoutsidecounsel, as needed,andindependently manageour highest-complexityM&Atransactions,projectand corporate financing transactions, PPAs, offtake agreements,andrelatedregulatory matters.

This is a Hybrid role with 3 days in office in our Fort Lauderdale office.

Qualifications

• J.D. from an accredited law school,active Florida Barlicenseoractivebar admission in at least one U.S.jurisdictionwith theability tobecome licensed asauthorizedhouse counselin Florida.
• 10+ years of experience in renewable energy law, withrequired prior in-house experience at an Independent Power Producer (IPP), developer, orutility.Law firm-only backgrounds will not meet the bar.
• Track recordofleading andowning,not justsupporting,complexM&A,project development,projectfinance, corporate finance, and offtake/transactionsfrom term sheet through closing, with minimalreliance on outside counsel.
• Substantial experience with project finance, tax equity, and/or M&A in the renewables space.
• Deep command of state-level utility regulatory frameworks, to the point of being a go-to internal resource on regulatory questions.
• Demonstrated experience drafting,negotiatingand advising oncomplex transaction and project agreements, including, but not limited to Membership Interests Purchase Agreements, Purchase and Sale Agreements,Joint Development and Joint Venture Agreements,Engineering, Procurement and Construction Agreements,Operation and Maintenance Agreements, Offtake Agreements,and Power Purchase Agreementsis required.
• Experience leading project financing, tax equity, securedfinancing,and other structured financing matters.
• Experience with capitalmarketstransactions, ongoing securities law compliance and reporting obligations is strongly preferredbut notrequired.

Responsibilities

• Independentlydraft, negotiate and advise onhigh-value contracts and transactions: PPAs, EPCs, interconnection agreements, project financings,andM&A,andjoint ventures.
• Serve as a senior escalation point for legal questions fromthe rest ofthe legal team, includingexistingSeniorCounsel and paralegal staff.
• Directly absorba significant portionoftheSeniorCounsel's currentworkload.
• Build and own legal processes, templates, and playbooks that raise the operating level of the whole department.
• Manage outside counsel relationships and budgets for specialized/high-stakesmatters.
• Advise cross-functional and executive teams on regulatory strategy, not just compliance.
