Overview Okta is seeking a highly experienced Director of Stock Administration to report to the Sr. Director of Stock Administration. This role will be responsible for fully understanding and managing end-to-end administration of the Company's equity plans, including but not limited to equity grants, restricted stock units, performance stock units, option exercises, ESPP administration and special projects for our Global Equity Plans. The ideal candidate will be results-oriented and service-driven who thrives in a fast-paced environment, have a proven track record of successfully leading daily activities, effectively communicating with internal and external stakeholders as well as identifying and implementing process and system improvements in a highly dynamic environment. The Opportunity The successful candidate will be responsible for the administration of Okta's global equity compensation plans and coordinating with cross-functional partners to ensure accurate processing, reporting, and disclosure of employee stock transactions. What you’ll do Manage international compliance Partner with other functional leads (including Legal, HR, Payroll, Accounting and Finance) to develop processes which ensure the accuracy of all equity data including all aspects of record-keeping, withholding, reporting, reconciliation and auditing. Ensure proper taxation is applied to all equity exercises and releases Ensure regulatory compliance for Section 16 executive and Board members and assist in the preparation of SEC Form filings Manage the reporting, reviewing, and tracking of 10b5-1 trading plans Lead and assist with ad-hoc projects Create stock reports as requested; assist with stock-related disclosures and with internal, external audits Conduct various stock analysis, modeling, and testing Ensure that all forms of equity compensation are administered following the terms and conditions of the plan(s) under which they are granted Manage the overall quarterly calendar of various stock administration related activities Implement educational sessions, presentations, and communication materials for the global employee base to support understanding of equity programs and policies Provide a superior level of service, prioritizing and satisfying multiple questions and requests from employees, management, and others supporting employee understanding of stock plan services, enrollment, and transactions Assist efforts to improve the stock administration function, including improving and introducing additional best practices with controls, automating routine workstreams and paperwork processes to ensure more efficient, accurate, and processing of stock administration matters and reports Lead system improvement and implementation as needed. Assist with mobility and international reporting compliance from an equity perspective Assist with the equity program communication and employee education Participate in the conversion and assumption of equity awards as required with M&A Process or support bi-annual ESPP purchases and quarterly RSU releases Participate in the preparation of the annual proxy filing, including providing and reviewing equity data included in the document What you need to succeed CEP designation preferred or willing to complete within 18 months Minimum of 9 years of stock administration experience Outstanding analytical, communication and organizational skills. Excellent business judgement, strategic thinking and ability to manage multiple priorities. Detail oriented with a high degree of accuracy. Ability to inspire action and coordinate simultaneous initiatives. Intellectually curious with an aptitude for creative problem-solving and analysis Must be a dependable teammate, ready to collaborate with multiple cross-functional partners (ie. Finance, Legal, HR, and external vendors) Ability to work in fast-paced environment, manage competing priorities, efficiently prioritize tasks, and adhere to critical deadlines Affinity for customer service, demonstrating excellent oral and written communication skills Confident working with various levels of management and handling highly confidential data Knowledge of regulatory and compliance matters related to equity programs and taxation Advanced Excel user (i.e. pivot tables, xlookup, vlookup) Experience with EEO Annual base salary information is provided for California (excluding SF Bay Area), Colorado, Illinois, New York, and Washington, with the range listed below. Your actual base salary will depend on factors such as your skills, qualifications, experience, and work location.
