Contracts Manager / Vice President of Contracts Job Description: The Contracts Manager / Vice President of Contracts is responsible for contract strategy, drafting, administration and compliance activities related to the purchase, sale, exchange and transportation of crude oil. This role partners closely with trading, accounting, legal and operations teams to ensure that transactions are documented accurately, executed timely, and administered in accordance with commercial terms, internal controls and applicable regulatory requirements. The position is also responsible for contract processes, systems, record retention and continuous improvement initiatives that support a fast‑paced crude trading business. Responsibilities: Lead all contracting activities for the purchase, sale, exchange and transportation of crude oil, including drafting, review, execution, amendment and termination of agreements. Develop, maintain and standardize crude oil contract templates, general terms and conditions, confirmation procedures and approval workflows. Ensure all trades and commercial arrangements are documented accurately and promptly, and that executed terms are captured correctly in company systems of record. Review and verify key commercial terms including pricing formulas, benchmark references, quality specifications, volume commitments, delivery terms, title transfer, settlement provisions and dispute language. Confirm compliance with regulatory and operational requirements such as operator P4s, lease numbers, division orders where applicable, comingle permits, pipeline or terminal requirements and other supporting documentation. Support contract interpretation issues, documentation discrepancies, counterpart inquiries, audit requests and contract‑related disputes. Oversee the maintenance of contract databases, amendments, confirmations, record retention and document controls to support audit readiness and historical traceability. Evaluate commercial exposure arising from pricing formulas, index differentials, market benchmarks and contractual optionality, and communicate risks to management. Collaborate with internal and external legal counsel on nonstandard contract language, claims management, regulatory developments and dispute resolution strategies. Establish and monitor internal controls, contracting policies and approval authorities to support compliance, governance and efficient execution. Track and monitor contracts in AccuTerm and in‑house databases. Follow operator aquistions and work with external teams to change contract terms with new operators. This includes obtaining all operator information and monitoring new and old prices. Generate month‑to‑date reports on Mondays, Wednesdays, and Fridays to track exchange balances. Review and draft contracts related to the sale and transportation of crude oil ensuring all pricing and terms are accurate to those agreed upon by boht parties. Qualifications: Experience in crude oil contract administration, trading support, marketing, supply, midstream or related energy commercial functions. Knowledge of crude oil purchase and sale agreements, transportation and terminal agreements, confirmation processes, contract terms and industry pricing formulas. Working knowledge of relevant regulatory, operational and documentation requirements affecting crude oil movements and settlements. Strong analytical skills with the ability to interpret pricing mechanisms, market benchmarks, contractual exposure and financial impacts. Excellent drafting, negotiation, communication and stakeholder management skills with both internal teams and external counterparties. High level of attention to detail, organization, judgment and discretion in handling sensitive commercial information. Proficiency with Microsoft Office and contract, ERP or trading systems used to maintain agreements and commercial data. Bachelor’s degree in business, finance, energy management, legal studies or a related field preferred. Experience with AccuTerm is a plus.
