Job Summary : DUGGAN BERTSCH is seeking a highly motivated and experienced Corporate Associate with 2 to 10 years of experience to join our growing Business & Corporate Law team. The ideal candidate will have a strong background in complex commercial transactions, mergers and acquisitions, contract drafting and negotiation, and governance matters and will have a demonstrated ability to lead deal teams, provide sophisticated advice to business clients, and manage all phases of transactional matters with minimal supervision. Responsibilities : Serve as lead associate on M&A transactions including structuring, due diligence, drafting, negotiating, and closing. Draft, review, and negotiate asset and stock purchase agreements, operating agreements, and related transaction documents. Advise clients on a wide range of commercial agreements. Draft, review, and negotiate a wide range of commercial agreements. Provide day-to-day counsel on corporate governance and general business matters. Conduct legal research and analysis on various corporate law issues. Collaborate with other attorneys and professionals within the firm to provide comprehensive legal services to clients. Maintain current knowledge of relevant legislation and case law. Qualifications: Juris Doctor (JD) from an accredited law school. Admitted to the practice of law and in good standing in the state of Iowa. 2-10 years of experience in corporate law, preferably with a focus on transactions. Strong drafting, negotiation, and project management skills. Strong verbal communication skills, with the ability to explain complex legal concepts in clear, understandable terms. Excellent interpersonal and communication skills, with a client-service mindset Ability to manage multiple complex projects and deadlines. Proficiency in legal research tools and Microsoft Office Suite. A team-oriented mindset with a strong work ethic and the ability to work independently when necessary.
