Corporate Paralegal Location: New York, NY Experience: 5+ Years Employment Type: Full-Time Role Overview We’re looking for a detail-oriented Corporate Paralegal to join our lean legal team and work directly with the General Counsel. This role spans commercial contract management, corporate compliance, and IP/patent administration. Key Responsibilities Maintain contract repository in Salesforce: MSAs, Service Orders, amendments, NDAs. Track critical contract dates and alert stakeholders. Manage annual MST update workflow. Support redline reviews, summarize client changes, flag deviations. Draft amendments, NDAs, vendor agreements under attorney supervision. Partner with sales, finance, and customer success to sync contract data with billing. Maintain good standing for all legal entities across U.S. and international jurisdictions. Manage foreign qualification filings and coordinate with registered agents. Maintain corporate records: minute books, resolutions, officer registers. Support governance: board consents, officer certifications. Monitor regulatory developments relevant to privacy, ad‑tech, data processing. Maintain IP docket: patents, trademarks, copyrights and prosecution deadlines. Coordinate with outside IP counsel on prosecution and maintenance fees. Organize assignment agreements, inventor declarations. Support IP due diligence for investors, financing, M&A. Required Qualifications 5+ years of paralegal experience in a corporate law firm, in‑house legal department, or legal operations. Paralegal certificate from an ABA‑approved program or a bachelor’s degree with equivalent experience. Experience managing commercial contracts end‑to‑end, including SaaS or subscription agreements. Hands‑on experience with Salesforce or a comparable contract platform. Ability to independently manage high‑volume notice campaigns on deadline. Exposure to multi‑jurisdictional corporate entity compliance. Strong knowledge of MS Word (tracked changes, redlining), Excel, and documentation systems. Nice to Have Experience with IP or patent portfolio administration. Familiarity with AI‑assisted legal workflows (e.g., Claude, ChatGPT).
