Senior Counsel, Transactions

Advise all levels of management on legal matters Build partnerships with business customers and clients Take primary responsibility for transactional activities with strategic partners and vendors Draft, review, and negotiate commercial contracts and related transaction documents Provide business-focused legal options and opinions to facilitate corporate objectives Research, investigate, analyze, and determine legal aspects of projects Direct, manage, and supervise outside counsel Develop legal expertise and knowledge of TruStage Participate in cross-functional teams, committees, task forces, and special projects Ensure corporate legal compliance in collaboration with subject matter experts Inform and advise the business regarding legal issues Collaborate across the Legal Transactions team and other Legal stakeholders Support continuous improvement and demonstrate TruStage corporate values Cultivate client relationships and communicate legal advice clearly Understand client financials, business dynamics, goals, and risks Monitor legal and business developments and recommend improvements Perform some pro bono or community service activities Requirements Juris Doctor degree Continuing legal education within areas of specialty and responsibility Authorized to practice law in the State of Wisconsin or applicable jurisdiction Generally, five to eight years of legal experience Expert status in corporate law and transactional legal matters, including communicating contracting Knowledge and experience in TruStage operations and corporate affairs Strong negotiation, analysis, reasoning, creativity, and judgment skills Excellent written and verbal communication skills Excellent project management and leadership skills Ability to interact with others in a manner that inspires trust and invites consultation Ability to think and act quickly and perform under significant pressure and deadlines Sound organizational and planning skills Ability to work harmoniously and professionally with others Ability to use technology to receive requests for advice, document recommendations, and store records Command of the law and legal framework applicable to assigned subject areas Understanding of legal processes, legal concepts, legal risks, risk mitigation strategies, and in-house counsel obligations Understanding of company business strategies Adherence to professional rules of conduct Resume required to apply Core Competencies Demonstrates expertise in corporate law and transactional legal matters, with strong negotiation and analytical skills.
