Associate Attorney

We are an established full-service law firm seeking an associate attorney with two to five years of experience to join our Los Angeles-area office. Our immediate need is for additional support within our entertainment practice, and prior entertainment transactional experience is preferred. We will also consider candidates with experience primarily in corporate law who have a demonstrated interest in developing a multidisciplinary practice. The successful candidate must be willing to learn and contribute across our entertainment and corporate practices as needed.

ENTERTAINMENT PRACTICE

Our entertainment practice represents production companies, producers, talent and other industry participants in the development, financing, production and distribution of television, film and new media projects. Although the practice has a substantial concentration in unscripted film and television, our work also includes independent scripted films, digital content, interactive games and talent representation. The practice handles a wide variety of transactional matters, including: Talent, producer and other personal-services agreements; Development, shopping, option and acquisition agreements; Production services and co-production agreements; Vendor and independent contractor agreements; Distribution, licensing and other exploitation agreements; Location, appearance, materials and other production releases; Content clearance and pre-broadcast review; and Film-financing and production-entity structures. Experience with entertainment transactions, production legal, content clearance, film financing or distribution is preferred but not required. Familiarity with copyright, trademark, right of publicity, defamation, privacy, fair use and First Amendment issues is particularly valuable given the firm’s documentary and nonfiction work.

CORPORATE PRACTICE

Our corporate practice advises closely held businesses, entrepreneurs and investors throughout the business life cycle, from formation and initial capitalization through governance, financing, commercial transactions and restructuring. Relevant work includes: Advising on entity selection, ownership and organizational structure; Forming corporations, limited liability companies and other business entities in California, Delaware and other jurisdictions; Drafting and negotiating operating agreements, bylaws, subscription agreements and related organizational documents; Preparing board and stockholder consents, corporate resolutions, meeting minutes and internal company policies; Advising on governance, management authority, fiduciary obligations and ownership matters involving closely held entities; Supporting equity issuances, capitalization arrangements and Section 83(b) election structures; and Drafting and negotiating agreements relating to investments, joint ventures and other business transactions. Candidates should have, or be interested in developing, a practical understanding of entity structuring, including distinctions between corporations and limited liability companies, choice-of-jurisdiction considerations and the basic federal and state tax principles applicable to business organizations.

POSITION EXPECTATIONS

This is a full-time position based in our Los Angeles-area office. Regular in-office attendance five days per week is required. Our practices are fast-paced, and priorities may shift quickly in response to client, transaction and production needs. Prompt and professional communication, responsiveness, attention to detail, sound judgment and consistent follow-through are essential. The firm provides mentorship, substantive guidance and appropriate oversight. At the same time, associates are expected to take ownership of their assignments, manage deadlines effectively, exercise thoughtful judgment and work independently when appropriate. The successful candidate will be intellectually curious, self-motivated and comfortable developing proficiency in unfamiliar areas. Business development is encouraged and supported. Associates who develop and originate client relationships will have meaningful opportunities for professional and financial growth within the firm. The firm also maintains a New York office, and occasional opportunities may arise for short-term travel or work between the Los Angeles and New York offices.

QUALIFICATIONS

Two to five years of relevant legal experience; Active membership in good standing with the State Bar of California; Strong drafting, analytical and organizational skills; Excellent written and oral communication skills; Ability to manage multiple matters and competing priorities; Demonstrated professionalism, responsiveness and sound judgment; and Genuine interest in developing a multidisciplinary practice. Admission to practice in New York is a plus. Compensation: $80,000–$150,000 annually, depending on experience and qualifications. We are an equal opportunity employer.
