Under the direction of HumanGood's Corporate Counsel, and with minimal supervision, this position provides legal support to HumanGood and its affiliated entities with primary responsibility for contract drafting, review, negotiation, administration and related counseling. Receives additional direction and guidance from the CLO/General Counsel and other senior members of the Legal Department as needed. Manages a broad portfolio of commercial, healthcare, technology, resident, construction, real estate, procurement and other operational agreements. Develops and maintains standard contract templates and provisions; advises internal stakeholders on contract terms, obligations, and risk; supports efficient end-to-end contract lifecycle processes, including intake, negotiation, approval, execution, recordkeeping, renewals and expirations; coordinates with business teams and outside counsel; and provides general legal advice and support as needed.
Compensation : 110-160K depending on location and experience
Location : This position is remote, but may occasionally travel to visit our communities. Candidates should be located in the greater Los Angeles, San Francisco, Seattle, or Philadelphia areas.
Work Duties
- Manages assigned contracts through the contracting process from intake and initial review through drafting, negotiation, internal approval, execution and completion, coordinating with internal stakeholders and counterparties as needed.
- Reviews and negotiates vendor and operational agreements, including master services agreements, professional and consulting services agreements, technology and software-as-a-service agreements, data processing and cybersecurity agreements, artificial intelligence and digital services agreements, healthcare and pharmacy services agreements, marketing, financial and audit services agreements, HIPAA business associate agreements, medical director agreements, equipment purchase and maintenance agreements, leases, financing documents, and engineering and construction agreements.
- Provides legal support for procurement activities, including requests for proposals (RFPs), requests for information (RFIs), vendor selection processes and related procurement documentation, terms and conditions.
- Develops, maintains and improves enterprise-wide contract templates, standard provisions, playbooks, checklists, forms and negotiation guidance.
- Advises business stakeholders regarding contract interpretation, performance obligations, renewal and termination rights, indemnification, insurance, liability, privacy, confidentiality, intellectual property, regulatory compliance and other contractual risks.
- Conducts legal research and interprets laws, regulations and guidance relevant to contracts, procurement, healthcare operations, senior living, privacy, technology, real estate and related business activities.
- Identifies and escalates healthcare regulatory, fraud-and-abuse, licensing, privacy and other compliance issues arising in connection with contract review and negotiation, and coordinates with senior Legal Department attorneys, Compliance, and outside counsel as appropriate.
- Coordinates and supports contract lifecycle management, including intake, assignment, status tracking, internal approvals, signature routing, execution, filing and retention, and tracking of renewals, expirations, termination dates and material post-execution obligations.
- Partners with operations, procurement, finance, information technology, healthcare, sales, risk management, compliance, construction, real estate and other teams to develop practical and business-oriented contract solutions.
- Supports vendor and third-party risk review in coordination with Privacy, Information Security, Compliance, Risk Management and other appropriate stakeholders, including identifying and addressing contractual issues relating to privacy, cybersecurity, data use, regulatory compliance and allocation of risk.
- Identifies recurring contract issues and recommends improvements to contracting policies, procedures, workflows, systems and training, including effective use of contract lifecycle management, electronic signature and other approved legal technology and artificial intelligence tools.
- Supports contract-related disputes, claims, audits, regulatory inquiries and transitions, including gathering documents and facts and coordinating with internal stakeholders and outside counsel.
- Provides contract training, presentations and practical guidance to internal clients.
- Provides general legal advice and counsel on operational, corporate, regulatory and other matters as needed, within the scope of the attorney’s experience and under the direction of the Corporate Counsel or other senior members of the Legal Department, as appropriate.
- Exercises prudent legal judgment and provides practical, thorough and timely solutions.
- Visits communities and attends meetings at other sites as a representative of the Legal Department when required.
- Provides effective and courteous service to residents, guests and team members and promotes and protects resident rights.
- Performs other related duties, special projects and responsibilities as assigned.

Minimum Requirements
- Education: J.D. from a U.S.-accredited law school and admission to the bar in at least one U.S. jurisdiction.
- Experience/Training: Minimum of three years of relevant corporate, contract, commercial transactional or related legal experience in a law firm, in-house legal department or comparable setting.
- Licensure: Active license to practice law and good standing in at least one U.S. jurisdiction, preferably California, Arizona, Nevada, Washington or Idaho.
Preferred Knowledge
- Contract law and commercial contracting, including drafting, negotiation, interpretation and contract lifecycle management.
- Experience with senior housing, CCRC or resident agreements is preferred.
- Technology, software-as-a-service, data processing, privacy, cybersecurity and artificial intelligence contracting.
- Healthcare contracting, including HIPAA business associate agreements, medical director agreements, managed healthcare and pharmacy arrangements, and familiarity with healthcare fraud-and-abuse considerations.
- Construction, engineering, facilities, equipment, real estate, lease and financing agreements.
- Procurement processes, insurance requirements, indemnification, limitation of liability, intellectual property, confidentiality and data-security provisions.
- Tax-exempt financing and private-business-use considerations affecting service or management contracts are preferred.
- Contract lifecycle management (CLM) systems, electronic signature platforms, document management systems, approved legal technology and artificial intelligence tools, workflow improvement, and development of standard templates and playbooks.
- Advanced proficiency with Microsoft Office, including Outlook, Word, Excel and PowerPoint.
